CONDITIONS GENERALES

1. DEFINITIONS Le terme « Vendeur » désignera soit SABIC Innovative Plastics France SNC quelle que soit sa forme sociale, et quelle que soit saqualité pour agir, en son nom propre ou au nom d’une autre société ou entité du groupe SABIC Innovative Plastics France SNC . En achetant des produits auprès duVendeur, l’Acheteur reconnaît et accepte que les conditions générales suivantes s’appliquent à l’achat des Produits de ces entités ou sociétés, parl’Acheteur. Par « Produit » il faut entendre tout produit ou service vendu par le Vendeur ; le terme « Acheteur » désignera toute personne achetantauprès du Vendeur. Même si l’Acheteur envoie au Vendeur d’autres conditions générales ou des modifications aux présentes conditions générales,en l’absence de réponse du Vendeur, les présentes conditions générales s’appliqueront à l’Acheteur. Si l’Acheteur n’accepte pas les présentesconditions générales, il doit contacter un représentant du Service clientèle pour négocier des modifications, leurs éventuelles acceptations devantfaire l'objet d'un document écrit et signé par le Vendeur.

2.CONDITIONS GÉNÉRALES DE VENTE . Tous les produits que l’Acheteur achète auprès du Vendeur, que leur mode de transmission soitélectronique, par téléphone, sur papier ou autre, sont vendus sous réserve des conditions suivantes :
a. Si l’Acheteur a déjà conclu un contrat de vente avec le Vendeur, toute stipulation dudit contrat contraire aux présentes conditions généraless’appliquera à l’achat de l’Acheteur ; et pour le surplus, le reste des présentes conditions générales sera applicable.
b. Si l’Acheteur n’a pas conclu de contrat de vente avec le Vendeur, les conditions qui suivent constituent l’intégralité du contrat du Vendeur, lequelsera régi par le droit positif de France. La Convention des Nations Unies sur la vente internationale de marchandises ne sera applicable à aucunevente de Produits.
c. Sauf stipulation contraire expresse, et ce afin d’en permettre l’utilisation sans danger et effective, tous les Produits vendus par le Vendeur sontfournis exclusivement à des fins d’utilisation ou de consommation par l’Acheteur ; l’Acheteur indemnisera et garantira le Vendeur contre toute actiond’un tiers en rapport avec la revente, tout transfert similaire ou l’utilisation de ses Produits.
d. Le Vendeur n'est lié qu'après avoir accepté par écrit la commande.
e. Les Produits vendus sont ceux figurant dans la confirmation de commande ; en cas de divergence entre la commande de l’Acheteur et laconfirmation du Vendeur, l’Acheteur informe le Vendeur de son désaccord par écrit dans les dix (10) jours de la confirmation de commande par leVendeur.

3.PRIX Les prix des produits sont déterminés par la confirmation de commande adressée par le Vendeur à l’Acheteur ou, en l’absence deconfirmation, par la liste des prix du Vendeur en vigueur à la date de l’expédition ; sauf stipulation contraire, les prix seront CIP/CIF (INCOTERMS2000), le site celui indiqué par l’Acheteur et le paiement sera dû dans les trente (30) jours calendaires à compter de la date mentionnée sur lafacture. L’Acheteur n’est pas autorisé à retenir des sommes dues au Vendeur sous prétexte de compensation ou de réclamations de quelquenature que ce soit. A tout moment le Vendeur peut demander le paiement total ou partiel par anticipation ou une garantie de paiement. Toutpaiement tardif constitue un manquement ; sans qu’il soit besoin de mise en demeure préalable, les sommes dues portent automatiquementintérêts au taux d’intérêt légal. L’Acheteur remboursera au Vendeur les frais, y compris de justice et de procédure, que ce dernier aura engagés àdes fins de recouvrement si l’Acheteur ne paie pas le Vendeur dans les délais. A tout moment le Vendeur peut céder sa créance à une compagnied’affacturage dans quel cas le paiement devra intervenir au bénéfice du compte mentionné sur la facture. Après acceptation de la commande par leVendeur, si le coût des produits a augmenté pour le Vendeur du fait d’une augmentation des coûts externes, des matières premières, d’unemodification des taux de change ou d’une augmentation des prix d’achat du Vendeur, des taxes, des droits ou des autres prélèvements imposéspar les pouvoirs publics, le Vendeur pourra répercuter cette augmentation dans ses prix à condition que le Vendeur en informe l’Acheteur par écritau moins quinze (15) jours à l’avance. Toute commande qui aura été confirmée mais qui n’aura pas encore été expédiée à la date de l’entrée envigueur des nouveaux tarifs pourra leur être soumise.

4 : LIVRAISON Les dates de livraison indiquées dans la confirmation de commande sont des estimations. Le Vendeur s'efforcera dans la mesuredu possible de respecter le délai mais il ne peut garantir que la livraison aura lieu à une date précise. Le vendeur est autorisé à procéder à deslivraisons globales ou partielles et un écart de quantité pouvant aller jusqu’à 10% sera considéré comme acceptable et ne pourra être contesté parl’Acheteur. L’Acheteur sera facturé pour la quantité effectivement livrée. La quantité telle qu’indiquée par les instruments de pesage officiellementcalibrés sur le lieu de chargement est réputée correcte et acceptée par les deux parties. La livraison peut être échelonnée et retardée aussilongtemps que l’Acheteur est en retard dans l’exécution de l’une de ses obligations. Le Vendeur ne pourra en aucun cas être tenu responsable detoute perte ou de tout dommage résultant d’un retard de livraison. La propriété et les risques de perte sont reportés sur l’Acheteur au moment oùles produits sont remis au transporteur aux fins d’expédition. Néanmoins, le Vendeur bénéficiera d’un droit de réserve de la propriété sur lesproduits livrés à l’Acheteur jusqu’à ce que ce dernier se soit acquitté de toutes ses obligations au titre de son contrat avec le Vendeur. Si l’Acheteurrevend des produits fabriqués à partir de ceux vendus par le Vendeur, sans qu’ils aient été intégralement payés, il est expressément convenu que,le Vendeur bénéficiera d’un droit de suite sur lesdits produits, lui permettant d’en revendiquer le prix en garantie de son complet paiement etl’Acheteur affectera au Vendeur tout produit découlant de leur vente, de leur nantissement ou de tout acte juridique les concernant. Le Vendeurreste en outre propriétaire de tout emballage des Produits.

5. LIMITATION DE GARANTIE Le Vendeur pourra fournir des Certificats de Garantie Limitée pour des Produits spécifiques plaques et films. Aucas où le Vendeur n’a pas remis à l’Acheteur un tel Certificat, le Vendeur garantit que tous les Produits vendus à l’Acheteur sont conformes auxspécifications du fabricant, telles qu’exposées dans le certificat remis à l’Acheteur. L’Acheteur inspectera promptement après réception tous lesProduits qu’il aura reçus afin de vérifier qu’ils n’ont pas été endommagés, ne sont pas défectueux et qu’il n’en manque pas ; il informera sans délaile Vendeur de tout dommage, défectuosité ou quantité manquante constaté(e). L’Acheteur devra signaler toute défectuosité dans les trente (30)jours à compter de la première des deux dates suivantes : (i) la date d’expédition par le Vendeur ou (ii) la date d’utilisation des Produits. Si desproduits s’avéraient ne pas être conformes à la garantie donnée ci-dessus, le Vendeur pourra, à sa discrétion, soit remplacer les Produitsdéfectueux, soit en rembourser le prix d’achat. Cela constitue le seul recours de l’Acheteur en cas d'appel en garantie. L’Acheteur ne doit pasrenvoyer les produits tant que le Vendeur n’a pas donné son consentement à cet effet. Si la législation applicable devait restreindre la présentelimitation des recours de l’Acheteur, le Vendeur convient que le montant maximal que l’Acheteur pourrait réclamer au Vendeur serait égal à deuxfois le prix d’achat net effectivement payé par l’Acheteur pour le Produit qui s’est révélé défectueux. La présente limitation de garantie ne s’appliquequ’à l’Acheteur et non aux acheteurs ou cessionnaires ultérieurs des Produits. L’Acheteur n’est pas autorisé à étendre ni à transférer la présentegarantie à une quelconque tierce partie. Au cas où le Vendeur n’a pas remis à l’Acheteur un Certificat de Garantie Limitée, la présente garantieremplace toutes autres garanties, écrites ou orales, obligatoires, expresses ou tacites, y compris toute garantie de qualité marchande oud’adéquation à un usage particulier.

6 : LIMITATION DE RESPONSABILITE Le Vendeur ne pourra être tenu pour responsable des préjudices découlant de l’achat, de la possessionou de l’utilisation par l’Acheteur des Produits, ou de l’utilisation par l’Acheteur de quelque fonction que ce soit offerte sur les sites Web du Vendeur,ou encore de quelque conseil technique qui pourrait avoir été fourni par le Vendeur, à l’exception des dispositions contenues dans les conditions dela clause de limitation de garantie décrite ci-dessus, ou en cas de faute lourde. Le Vendeur ne sera pas responsable des dommages indirects,immatériels, spéciaux, accessoires, de dommages et intérêts punitifs ou autres, y compris, de manière non exhaustive, des pertes d’image, oud’éléments incorporels de fonds de commerce, de profits, de chiffre d’affaires, du temps d’arrêt des installations, du coût de la réparation ou desmatériaux, du coût de tout produit de remplacement des Produits achetés par l’Acheteur, des réclamations de tierces parties, ou des préjudicescorporels ou matériels. Toutes conditions qui pourraient être invoquées à l’encontre du Vendeur par l’un de ses fournisseurs et/ou contractant,limitant, excluant ou établissant une responsabilité à l’occasion de la fourniture de biens et/ou marchandises au Vendeur, seront, sans autreformalité, opposables à l’Acheteur.

7 : CONSEILS TECHNIQUES ET AUTRES SERVICES L’Acheteur est responsable de la conception, du traitement, du contrôle et de l’étiquetagede tout produit fabriqué par lui en utilisant les Produits achetés auprès du Vendeur. L’Acheteur ne pourra se référer ou invoquer aucun élément dusite Web du Vendeur, ni à aucune déclaration du Vendeur concernant l’adéquation de ses Produits. L’Acheteur procédera à des essais et à desinvestigations effectués dans les conditions d'utilisation réelles sur les Produits vendus par le Vendeur pour se faire une opinion indépendanteconcernant leur adéquation à l’utilisation, à la transformation ou au traitement envisagé(e) par l’Acheteur. Ce dernier ne formulera aucuneréclamation à l’encontre du Vendeur fondée sur les conseils techniques, les déclarations, les données, les services ou les recommandations duVendeur, lesquels ne sauraient en aucun cas engager sa responsabilité.

8 : PROPRIETE INTELLECTUELLE Toutes suggestions formulées par le Vendeur concernant de possibles applications, destinations ouutilisations des Produits du Vendeur ne concèdent en aucun cas à l’Acheteur une licence au titre d’un quelconque droit de propriété intellectuelleprotégeant lesdits applications, destinations ou utilisations, et ne constituent pas non plus une recommandation d’utilisation desdits Produits,applications ou destinations susceptibles de porter atteinte à un quelconque droit de propriété intellectuelle. Le Vendeur défendra l’Acheteur en casde demande alléguant que les Produits du Vendeur, tels que livrés à l’Acheteur, portent atteinte aux droits de propriété intellectuelle d’une tiercepersonne ; si tel devait néanmoins être le cas, le Vendeur rembourserait à l’Acheteur le prix d’achat des Produits ou aurait la faculté de fairedisparaître la difficulté en fournissant un droit de licence desdits droits de propriété intellectuelle en faveur de l’Acheteur. En matière d’atteinte auxdroits de propriété intellectuelle, le Vendeur n’aura pas d’autres obligations pour ses Produits que celles exposées ci-dessus.Les marques et autres droits déposés restent et sont la propriété du Vendeur, aucun droit n'étant conféré à l'Acheteur, à quelque titre que ce soit.

9 : CIRCONSTANCES INDEPENDANTES DE LA VOLONTE Le Vendeur ne sera pas tenu pour responsable s’il ne peut s’acquitter de sesobligations au titre des présentes du fait d’événements indépendants de sa volonté rendant impossible ou déraisonnable, d’un point de vuecommercial, l’exécution de ses obligations, que cela soit à la suite d’un état de guerre, de guerre civile, d’actes terroristes ou des circonstancesanalogues, pour des pénuries de matières premières, de rupture des moyens de communication ou de transport, l’impossibilité pour le Vendeurd’utiliser ou de mettre en oeuvre à temps des matières premières, matériaux, machines, accessoires de machine, etc. sur lesquels il avait comptéau moment de la conclusion du contrat, ainsi que dans des cas fortuits, extérieurs à sa volonté ou revêtant les caractéristiques de la force majeure.Si la situation perdure pour plus de 90 jours, le Vendeur et l’Acheteur peuvent résilier par écrit les parties irréalisables du contrat.

10 : RESPECT DE L’ENVIRONNEMENT, DE LA SANTE ET DE LA SECURITE Le Vendeur remettra et/ou tiendra à disposition de l’Acheteur quien fera la demande des Fiches de Sécurité des Produits (ci-après dénommées « FSP ») et l’Acheteur remettra à son tour les FSP à qui de droit.L’Acheteur prendra les précautions nécessaires en fonction des risques identifiés dans les FSP ; l’Acheteur gérera et détruira ou fera enlever demanière appropriée tous les déchets et résidus, y compris les emballages jetables, découlant de l’utilisation des Produits, conformément aux lois etréglementations applicables.

11 : RESPECT DE LA LEGISLATION DU COMMERCE INTERNATIONAL L’Acheteur garantit qu’il exporte les Produits, la technologie ou leslogiciels qu’il a reçus du Vendeur en stricte conformité avec les lois applicables, y compris les lois des États-Unis sur la réglementation desexportations. L’Acheteur certifie qu’il n’utilisera pas et ne soutiendra pas en connaissance de cause l’utilisation par de tierces parties desditsProduits, de ladite technologie ou desdits logiciels dans le cadre de la conception, de l’élaboration, de la production ou de l’utilisation d’armesnucléaires, chimiques ou biologiques ou de missiles balistiques ou de tout produit interdit ou contingenté.

12 : COMMERCE ELECTRONIQUE Le Vendeur peut proposer des Produits à la vente en utilisant Internet, le courrier électronique ou d’autresméthodes de communication électronique. Toutes les ventes de Produits faisant appel à ces méthodes seront régies par les termes du contrat devente et par toutes conditions particulières exposées ou mentionnées sur le site Web du Vendeur ou dans ses communications électroniques. Encas de divergence entre ledit contrat de vente ou lesdites conditions particulières et les présentes conditions générales, le contrat de vente ou lesconditions particulières prévaudront. L’Acheteur ne pourra partager avec quiconque le mot de passe, code d’accès ou autre identifiant similaire quele Vendeur pourra lui avoir attribué, et le Vendeur se réserve le droit de suspendre ou de révoquer lesdits identifiants. L’Acheteur est seulresponsable de la sécurisation et de l’intégrité de sa procédure de commande. Toutes les informations fournies par le Vendeur par l’intermédiaired’un site Web ou d’une communication électronique : (i) peuvent être corrigées ou modifiées sans préavis ; et (ii) sont fournies à l’usage exclusif del’Acheteur aux fins de faciliter des transactions personnelles impliquant l’achat et la vente des Produits du Vendeur. L’Acheteur convient qu’il ne seprévaudra pas à ces informations à une quelconque fin autre que la réalisation d’achats personnels et ne cherchera pas à faire valoir lesditesinformations à l’encontre du Vendeur à une quelconque autre fin. L’Acheteur convient expressément que le Vendeur peut émettre des facturesélectroniques pour tous les achats de produits effectués par Internet, par courrier électronique ou par toute autre méthode de communicationélectronique, et convient d’honorer lesdites factures comme si elles avaient été émises par écrit..

13 : RESILIATION EN CAS DE MANQUEMENT Le Vendeur, à sa discrétion, a le droit de suspendre par écrit l’exécution des présentes ou de lesrésilier totalement ou partiellement, sans qu’il soit besoin de mise en demeure préalable, pour autant que celle-ci n’ait pas encore été exécutée,dans l’un des cas suivants : (i) si l’Acheteur n’exécute pas ses obligations ou ne les exécute pas à temps ou les exécute de manière non conforme ;(ii) si l’Acheteur est déclaré en cessation de paiement, demande des délais de paiements ou liquide son entreprise ; (iii) si ses éléments d’actif sonttotalement ou partiellement saisis ou mis sous contrôle ou administration judiciaire. Le Vendeur conserve le droit de demander le remboursementde ses frais ainsi que des dommages et intérêts. En tout état de cause, les créances du Vendeur, échues et à échoir, deviennent immédiatementexigibles et ce, dans leur totalité.L’Acheteur ne peut résilier le contrat que dans les conditions évoquées dans les présentes conditions générales et, en tout état de cause,seulement après paiement de toutes les sommes dues au Vendeurs, échues ou à échoir.

14 : GENERAL L’annulation ou la modification d’une commande, le refus de prendre livraison ou le renvoi de tout Produit conforme à la commandesera suspendu à l’autorisation préalable du Vendeur. Des frais d’annulation, conformément au tarif en vigueur, seront appliqués.Ni des comportements ou usages, ni des écrits ou accords antérieurs ne doivent qualifier, expliquer ou remplacer une des clauses des présentesconditions générales.Le défaut d’une des parties à un moment donné, ou à intervalles réguliers, de réclamer à l’autre partie de remplir ses obligations conformément auxprésentes, ne constitue en aucun cas un renoncement à ses dispositions.Si l’une des clauses des présents devait se révéler nulle ou non applicable, ceci n’aurait aucune conséquence sur les autres dispositions quiresteraient parfaitement valables dans les limites légales.

15 : CLAUSE ATTRIBUTIVE DE COMPÉTENCE ET DE JURIDICTION Le présent contrat est soumis au droit français. Pour trancher lesdifférends pouvant résulter du présent contrat, le Tribunal de Commerce et les juridictions de Paris sont seuls compétents, même en cas d'appel,en garantie ou de pluralité de défendeurs..

CONDIZIONI GENERALI DI VENDITA

1. Definizioni. Questo documento (“Condizioni generali”) può essere stato inviato da SABIC Innovative Plastics Italy Srl in rappresentanza o per conto diun’altra Società. Se questo è il caso, il nome di questa Società verrà indicato nel documento di conferma d’ordine o nella successiva fattura(sotto l’indicazione del luogo di fabbricazione) e il termine “Venditore” dovrà intendersi come riferito alla società così identificata. Comunque, inassenza di indicazioni contrarie, per Venditore dovrà intendersi SABIC Innovative Plastics Italy Srl. Con il termine “Prodotto” ci si riferisce a qualsiasiprodotto venduto o servizio reso dal Venditore, mentre con il termine “Acquirente” si intende qualsiasi soggetto che acquista un Prodotto dalVenditore. Nel caso in cui l'Acquirente non ritenga accettabili le presenti condizioni, potrà mettersi in contatto con un rappresentante del Servizioclienti della venditrice per sottoporre richieste di modifica, restando inteso che non si avrà riguardo a modifiche dallo stesso apportate, o adeventuali formulari predisposti dall'acquirente, in mancanza di espressa approvazione scritta da parte della venditrice. In nessun caso potràattribuirsi rilevanza al silenzio in proposito da parte del Venditore.

2.Condizioni Generali di Vendita Le presenti Condizioni generali regolano tutti i rapporti tra Venditore e Acquirente relativamente ai Prodotti.In particolare :
a. nel caso in cui Venditore e Acquirente abbiano sottoscritto un separato contratto di vendita, le disposizioni di quel contratto prevarrannosulle Condizioni generali. Resta comunque ferma l’applicabilità di tutte le Condizioni generali che non confliggono con le disposizioni delcontratto di vendita sottoscritto da Venditore e Acquirente;
b. In mancanza di diverso contratto di vendita sottoscritto da Venditore e Acquirente, le presenti Condizioni generali regolano il rapporto tra leparti, che sarà soggetto alla legge italiana, con esclusione di ogni riferimento alla Convenzione ONU sulle vendite internazionali.

3. Prodotti. I Prodotti oggetto della compravendita sono quelli descritti nella conferma d’ordine del Venditore. In caso di discrepanza tra quantocontenuto nell’ordine dell’Acquirente e nella conferma del Venditore, l’Acquirente dovrà comunicare per iscritto il proprio disaccordo al Venditore,entro e non oltre 10 giorni dalla data della conferma d’ordine. Se non concordato diversamente per iscritto, al fine di garantirne la più corretta esicura utilizzazione, si precisa che i Prodotti sono forniti ad esclusivo uso e consumo dell’Acquirente, il quale si impegna a rilevare indenne emanlevare il Venditore da ogni e qualsiasi richiesta proveniente da soggetti terzi che riguardi la rivendita, il trasferimento,e comunquel’utilizzazione di ciascun Prodotto acquistato.

4. Prezzo. Il prezzo dei Prodotti è indicato nella conferma d’ordine del Venditore all’Acquirente o, in sua assenza, dal listino prezzi del Venditorevigente al momento della spedizione. Salvo diverso accordo scritto, la resa si intenderà CIF/CIP fino al luogo di destinazione indicatodall’acquirente (come da clausole INCOTERMS 2000) e il pagamento sarà dovuto entro e non oltre 30 gg. dalla data della fattura. L’Acquirentesi impegna a non operare alcuna riduzione del prezzo, né a titolo di compensazione né ad altro titolo (comprese contestazioni riguardante iProdotti). Il Venditore ha il diritto, esercitabile in qualsiasi momento, di richieder un pagamento anticipato del prezzo, per l’intero o in parte, egaranzie di pagamento. Il ritardato pagamento costituisce inadempimento delle obbligazioni contrattuali, senza che vi sia necessità di alcunacomunicazione o sollecito del Venditore, e comporta l’automatica applicazione degli interessi di legge. Sempre per il caso del ritardo,l’’Acquirente si impegna a rimborsare al Venditrice tutte le spese sostenute per il recupero dei crediti, comprese quelle eccedenti l’ammontaregiudizialmente stabilito. Il Venditore potrà in qualsiasi momento cedere il proprio credito a terzi. In questo caso, il pagamento dovrà essereeffettuato direttamente nel conto corrente che sarà indicato nella comunicazione di cessione (indicazioni in tal senso contenute nelle fatture dipagamento valgono come comunicazione della cessione del credito). Nel caso in cui, dopo la data della conferma d’ordine, i prezzi sianoaumentati, anche, in relazione all’aumento dei costi dei materiali o della mano d’opera, di rilevanti tassi di cambio, ovvero di imposte, tasse odaltri oneri fissati da pubbliche autorità, la venditrice avrà la facoltà di applicare i nuovi prezzi a tutti i Prodotti non ancora spediti al Venditore, conun preavviso scritto di almeno 15 gg. Il prezzo sarà rivisto in accordo a quanto sopra e applicato a tutti gli ordini, anche se già confermati, relativia Prodotti non ancora spediti.

5.Consegna Le date di consegna indicate nella conferma di ordine o accettazione del Venditore sono indicative e non vincolanti. La venditricenon garantisce la consegna per una data precisa, e l’Acquirente riconosce fin d’ora come accettabili variazioni del 10% in più od in meno dellaquantità di Prodotti ordinata. In ogni caso, l’Acquirente sarà tenuto a pagare quanto effettivamente consegnato in più o in meno. La quantitàmisurata con gli strumenti di pesatura del Venditore nel luogo di imbarco dei Prodotti sarà accettata da entrambe le parti come corretta. Laconsegna potrà essere parziale e ripartita e resterà comunque sospesa per tutto il tempo in cui persisterà un indampimento dell’Acquirente aipropri obblighi verso il Venditore. In ogni caso, il Venditore non sarà responsabile per alcuna perdita o danno dovuto al ritardo nella consegnadei Prodotti (anche per consegne parziali), salvo che ciò sia dovuto a suo comportamento doloso o gravemente colposo. Nel caso in cuil’Acquirente rifiuti la consegna, anche parziale, dei Prodotti, il Venditore potrà, senza pregiudizio degli altri diritti, procedere con lo stoccaggio deiProdotti con spese e rischi a carico dell’Acquirente. La proprietà ed il rischio di perimento o danneggiamento dei Prodotti si intendono trasferitiall’Acquirente dal momento della consegna allo spedizioniere o al vettore. Tuttavia, il Venditore si riserva la proprietà della merce finoall’integrale adempimento da parte dell’Acquirente di tutte le proprie obbligazioni. In caso di vendita a terzi di prodotti risultanti dallatrasformazione della merce prima dell’integrale pagamento, l’Acquirente dovrà accordarsi con il proprio cliente perché il Venditore possaesercitare la propria riserva di proprietà su tali prodotti, se del caso cedendo a questa il credito derivante dalla rivendita.

6 Limitazione della garanzia. Fatti salvi diversi “Certificati di Garanzia Limitata” eventualmente rilasciati all’acquirente per specifici prodotti dilastre e film, I prodotti commercializzati dal Venditore sono garantiti conformi alle specifiche descritte nei rispettivi certificati di garanzia inviatiall’Acquirente. L'Acquirente dovrà verificare al più presto eventuali danneggiamenti ai Prodotti e la loro conformità alle specifiche e quantitàpattuite, impegnandosi a segnalare eventuali divergenze entro 30 gg. dalla spedizione e comunque prima che i Prodotti siano utilizzati, a mezzolettera raccomandata, nella quale dovranno riportarsi, oltre alle anomalie riscontrate, tutti i riferimenti interni della venditrice (tipo, lotto, grado,colore) atti ad individuare il prodotto. Nel caso in cui venissero accertate divergenze dei Prodotti con le specifiche, il Venditore potrà, a suascelta, sostituire il Prodotto non conforme o rimborsare il prezzo pagato per quel Prodotto dall’Acquirente. Nessun Prodotto non conforme potràin ogni caso essere restituito dall’Acquirente, se la restituzione non è stata previamente autorizzata dal Venditore. La garanzia della venditricesarà limitata unicamente ai rimedi di cui sopra. La presente garanzia è prestata solo al diretto acquirente e non si estenderà né potrà da questiessere ceduta ai suoi cessionari od aventi causa. Ogni diversa garanzia (sempre fatti salvi i Certificati di Garanzia Limitata di cui sopra) siintende espressamente esclusa, salvo che derivi da norme inderogabili di legge. E’, in particolare, esclusa qualunque garanzia dicommerciabilità o di idoneità del prodotto a soddisfare specifiche esigenze dell’Acquirente. Se pure fosse dichiarata inefficace per legge lalimitazione di garanzia che precede, la responsabilità complessiva del Venditore per danni non potrà mai essere più del doppio del prezzo nettodi vendita pagato dall’Acquirente per la partita contestata.

7. Limitazione della responsabilità. Salvo il caso di dolo o colpa grave, il Venditore non potrà ritenersi responsabile, oltre i limiti previsti dalprecedente art.6, di pregiudizi eventualmente derivati all’Acquirente dall’acquisto, possesso o utilizzo dei prodotti o dall’uso di funzioni presentinel sito Internet del Venditore (come “Ask Edison” o qualunque “wizard” del Venditore) o da consigli tecnici da questi forniti. Il Venditore nonrisponderà di danni consequenziali o incidentali subiti dall’Acquirente quali, a titolo di esempio, quelli derivanti dalla perdita di produzione, profittio ricavi, perdita d’uso del Prodotto, costi di riparazione (inclusi i materiali), costi per la sostituzione dei Prodotti, richieste provenienti da soggettiterzi, lesioni personali, danneggiamenti ad altri beni. Inoltre, il Venditore non risponderà di danni, lesioni, responsabilità per violazione di leggiper la protezione dell’ambiente, e qualsiasi altro danno che sia conseguenza di inadempimento dell’Axìcquirente agli obblighi di cui alsuccessivo art. 12. L’Acquirente si impegna altresì a rilevare indenne e manlevare il Venditore, i suoi dipendenti, fornitori e sub-fornitori, da ognie qualsiasi richiesta e responsabilità derivante dall’inadempimento di cui sopra. Condizioni che limitano, escludono o stabiliscono laresponsabilità di fornitori e sub-fornitori del Venditore nei confronti di questi sono valide ed efficaci anche nei confronti dell’Acquirente

8. Consigli tecnici ed altri servizi. L’Acquirente si farà esclusivo carico e sarà quindi l’unico resposnabile della progettazione, lavorazione,collaudo ed etichettatura dei propri prodotti realizzati con materiale fornito dal Venditore. L’Acquirente riconosce fin d’ora che non possono dareluogo ad affidamento contrattualmente rilevante le informazioni contenute nel sito Internet della venditrice né eventuali dichiarazioni della stessacirca l’idoneità dei propri prodotti o servizi all'impiego e all’utilizzo finale del prodotto e si impegna ad effettuare le opportune indagini e prove suiprodotti per formarsi un proprio giudizio sull’idoneità degli stessi all’impiego, trasformazione o lavorazione destinata, espressamente rinunziando,pertanto, a qualunque pretesa in relazione ad eventuali consigli tecnici, dichiarazioni, suggerimenti, dati o servizi della venditrice.

9. Proprietà intellettuale. Eventuali suggerimenti da parte del Venditore circa le possibilità d'impiego dei Prodotti, la progettazione o l’utilizzodegli stessi per la realizzazione di certi articoli non implicheranno alcuna licenza a favore dell’Acquirente di eventuali brevetti sul modo diApril 2005utilizzazione, sulla progettazione o sugli articoli stessi né, men che meno, potranno intendersi come invito ad impieghi in violazione di talibrevetti. Il Venditore si assumerà la difesa dell’acquirente in eventuali cause per violazioni di brevetti, solo se e quando i brevetti di terzidovessero risultare violati dal prodotto della venditrice, così come consegnato all’acquirente; in tal caso, la venditrice potrà, a sua scelta,rimborsare il prezzo di acquisto o procurare all’acquirente la licenza di utilizzare i brevetti di tali terzi. Nessun’altro onere o responsabilità potràessere addebitato al Venditore in caso di violazione di diritti di proprietà intellettuale dei Prodotti.

10. Caso fortuito e forza maggiore. Il Venditore sarà esonerato da ogni responsabilità quando la mancata esecuzione delle sue obbligazionicontrattuali sia stata resa totalmente o parzialmente, in via temporanea o definitiva, impossibile o commercialmente inesigibile da caso fortuito,forza maggiore, o comunque da eventi al di fuori del controllo della venditrice. Rientrano tra le cause che scusano l’inadempimento gli scioperi,anche parziali, locali, nazionali, o anche delle sole maestranze del Venditore, difficoltà di trasporto, ritardi dei fornitori o sub-fornitori delVenditore, e qualsiasi interruzione dell’attività produttiva o commerciale. se uno degli eventi di cui sopra ritarda l’esecuzione del contratto per piùdi 90 giorni, sia l’Acquirente che il Venditore avranno facoltà di recedere unilateralmente dalla parte di contratto ineseguibile.

11. Rispetto delle norme sulla protezione dell’ambiente, la salute e la sicurezza sul lavoro. Il Venditore certificherà all’acquirente i datirelativi alla sicurezza del materiale con apposite schede (chiamate MSDS), che l’acquirente potrà/dovrà inoltrare a chiunque debba per leggeaverne conoscenza. L’Acquirente avrà cura di prendere tutte le opportune precauzioni per prevenire i rischi elencati nelle schede MSDS e pergestire, smaltire o riciclare nel rispetto delle leggi e regolamenti applicabili tutti i rifiuti e residui di lavorazione connessi all’utilizzazione deiprodotti.

12. Controlli sull’esportazione. L’Acquirente si impegna a non impiegare i prodotti, la tecnologia od il software forniti per la progettazione,sviluppo o fabbricazione di armi nucleari, chimiche, biologiche o di missili balistici (ed a non facilitarne scientemente l’utilizzo a tali fini da parte diterzi) od anche solo in connessione con l’uso di tali armi. L’Acquirente si impegna inoltre al rispetto delle normative applicabili che vietino olimitino l’esportazione in certi Paesi dei Prodotti, della tecnologia e del software.

13. Commercio elettronico. Il Venditore può offrire in vendita i Prodotti tramite Internet, posta elettronica o altre forme di comunicazioneelettronica. La vendita di Prodotti effettuata con tali mezzi di comunicazione sarà regolata dalle disposizioni del contratto di fornitura in vigore trale parti e dalle condizioni aggiunte riportate o richiamate nel sito Internet del Venditore o nelle comunicazioni elettroniche. In caso di conflitto trale disposizioni previste nel sito Internet del Venditore e queste condizioni generali, le prime prevarranno sulle seconde. Si conviene chel’Acquirente non potrà rendere disponibili ad altri i codici di accesso, password o analoghe credenziali che gli siano state rilasciate dal Venditore,sotto pena della sospensione o revoca di tali credenziali, a discrezione del Venditore. Compete esclusivamente all’Acquirente la responsabilitàper la sicurezza e l’integrità del processo di ordinazione. Qualunque informazione fornita dal Venditore a mezzo del sito Internet o dicomunicazioni elettroniche si intenderà i) suscettibile di correzione o modifica senza preavviso, e ii) fornita ad uso esclusivo dell’Acquirente alloscopo di facilitare le sue operazioni di compravendita dei Prodotti del Venditore. L’Acquirente riconosce che non farà affidamento su taliinformazioni se non al fine di procedere all’acquisto e non si avvarrà delle stesse nei confronti del Venditore per alcun altro scopo. L’Acquirenteconcorda nel considerare accettazioni, conferme d’ordine e fatture emesse per via elettronica dal Venditore riguardanti l’acquisto di Prodottieffettuati a mezzo Internet, posta elettronica o altre forme di comunicazione elettronica come valide vincolanti e si impegna ad onorare taliaccettazioni, conferme e fatture come se emesse su carta stampata.

14. Risoluzione per inadempimento e sospensione. In difetto di corretto e tempestivo adempimento dell’Acquirente ad una delle sueobbligazioni, così come in caso di dichiarazione di fallimento o di procedure di liquidazione o di azioni esecutive che aggrediscano, in tutto o inparte, il patrimonio dell’Acquirente in modo tale da mutarne sostanzialmente le condizioni patrimoniali, il Venditore potrà, a sua discrezione, intutto o in parte, sospendere l’adempimento delle proprie obbligazioni o risolvere il contratto con comunicazione scritta, senza bisogno di alcunpreavviso e sempre facendo salvo il diritto di ottenere il rimborso dei costi sostenuti e il risarcimento dei danni subiti maggiorati di interessi. Inquesto caso, tutte le obbligazioni dell’Acquirente verso Venditore diverranno totalmente ed immediatamente esigibili. L’Acquirente potrà risolvereil contratto nei soli casi previsti da queste condizioni generali, e comunque sempre dopo aver pagato all’Acquirente tutto quanto dovuto al tempodella risoluzione.

15. In generale. La cancellazione o la modifica alle condizioni di qualsiasi ordine, così come il rifiuto di accettare la consegna o la restituzione diProdotti che rispondono alle specifiche saranno condizionate all’accettazione del Venditore. In caso di cancellazione dell’ordine, l’Acquirentesarà tenuto al pagamento delle spese di cancellazione previste al momento dal Venditore. Comportamenti tenuti durante l’esecuzione delcontratto o delle trattative, usi, scritti o accordi precedenti alla conclusione del contratto non potranno essere utilizzati in alcun modo perqualificare, spiegare o integrare alcuna delle presenti condizioni generali. La mancata contestazione dell’inadempimento di una o più dellepresenti condizioni non costituisce rinuncia a richiederne in seguito l’adempimento. L’invalidità o inefficacia di una o più delle presenti condizionigenerali non pregiudica la validità e l’efficacia delle altre.

 

TERMS AND CONDITIONS OF SALE

1. DEFINITIONS. This document may have been sent by SABIC Innovative Plastics BV as agent and on behalf of another entity. If this is thecase, such other entity is mentioned on the order confirmation or invoice below the manufacturing location and any reference below to“Seller” shall refer to such other entity. If no such entity is mentioned, SABIC Innovative Plastics BV shall be the Seller. As used below,“Product” means any product or service sold by Seller, and “Buyer” means a party purchasing any Product from Seller. Even if Buyer sendsSeller another form of agreement, or modifications to this agreement, and Seller does not respond, these terms will govern the agreementbetween Seller and Buyer. If Buyer does not agree with these terms, please call a Customer Service representative to discuss modifications.Any modifications must be in writing and signed by Seller.

2. TERMS AND CONDITIONS OF SALES. Any Products Buyer purchases from Seller are sold subject to the following:
a. If Buyer already has a fully signed sales agreement with Seller, then any term in that agreement will be applied to Buyer’s purchase andthese terms and conditions will apply to the extent not conflicting with that agreement.
b. If Buyer does not have a fully signed sales agreement with Seller, then the following is Seller’s complete contract, which is governed bythe substantive laws of the Netherlands. The courts of Breda, the Netherlands, shall have exclusive jurisdiction. The United NationsConvention on the International Sale of Goods will not apply to any sale of Products.

3. PRODUCTS. The Products sold are those described in Seller's order confirmation, unless, in the event of a discrepancy between Buyer'sorder and Seller's confirmation, Buyer notifies Seller in writing of its disagreement, within a period of ten (10) days from the date of Seller'sconfirmation. Unless otherwise agreed in writing, in order to promote their safe and effective use, all Products are provided solely for use orconsumption by Buyer and Buyer shall hold harmless and indemnify Seller against any claim from third parties related to the resale, transferor use of any such Products.

4. PRICE. Product prices are determined by Seller’s order confirmation provided to Buyer or, in the absence of such confirmation, by Seller’slist prices in effect at the time of shipment. Unless otherwise agreed in writing, all prices are CIF/CIP (INCOTERMS 2000) the facilityspecified by Buyer and payment will be due within thirty (30) days of the invoice date. Buyer shall not be entitled to make any deduction frompayments due to Seller on account of any alleged set-off or counterclaim. Seller has at all times the right to demand full or partial advancedpayment and security for payment. Late payment immediately constitutes a default without notice and statutory interest applies automatically.Buyer shall reimburse Seller for Seller's full costs of collection and related legal costs, even where exceeding the legally recognised costs.Seller may at all times assign its invoices to a factoring company in which case payments shall be made into the account mentioned on theinvoice. In the event that the cost to Seller of the Products has increased as a result of an increase of external costs or a modification of ratesof exchange or increase in Seller’s raw material or input buying prices, taxes, duties or other levies imposed by public authorities, Seller hasthe right to increase the prices accordingly for all orders not yet shipped to Buyer, provided that Seller provides Buyer with at least fifteen (15)days prior written notice. All orders for such Products that are confirmed but not shipped as of the effective date of such increase shall be repricedaccordingly.

5. DELIVERY. Any delivery dates set out in Seller’s order confirmation or acceptance are estimates. Seller cannot guarantee delivery on aspecific date and variation of up to 10% in quantity is acceptable to Buyer. Buyer will be invoiced for the quantity actually delivered. Thequantity recorded on Seller's officially calibrated weighing equipment at the point of loading shall be accepted by both parties as correct.Delivery may be made in installments and may be extended as long as Buyer is delayed in the performance of any obligation to Seller. Sellershall not in any circumstance be liable for any loss or damage whatsoever due to delay in delivery (including pursuant to installments)however occasioned unless the same was attributable to Seller's gross negligence or willful misconduct. If Buyer refuses to accept delivery ofProducts or any installment thereof, Seller may, without prejudice to its other rights, arrange for the storage of the Products at the expenseand risk of Buyer. All title and risk of loss or damage passes to Buyer at the time Products are first transferred to a commercial transportationcarrier for shipment. Seller shall retain title to the Products delivered to Buyer until Buyer has performed all its obligations under any saleagreement with Seller. In the event of any re-sale by Buyer of any goods manufactured out of Products sold by Seller, Buyer assigns toSeller all proceeds from their sale.

6. LIMITED WARRANTY. Limited Warranty Certificates may be issued for specific sheet and film Products. If no such certificate has beenissued to Buyer, Seller warrants that all Products sold to Buyer will conform to the manufacturers’ specifications as set forth in the applicableproduct certification delivered to Buyer. Buyer will inspect all Products for damage, defect or shortage promptly after Buyer receives them,and will give Seller prompt notice of any damage, defect or shortage that Buyer finds. Buyer must give Seller notice of any defect within thirty(30) days after the date of shipment or before the date the Products are used, whichever comes first. If any Product is determined not toconform to the warranty set forth above, Seller shall, at its option, either replace the defective Product or refund the purchase price thereof.Defective Products shall not be returned by Buyer until authorized by Seller. This remedy is Buyer’s exclusive remedy for breach of warrantyand defects in the Products. Should applicable law prohibit this limitation of Buyer’s remedies, then Seller agrees that the maximum amountBuyer may claim from Seller is twice the net purchase price Buyer actually paid Seller for Product subsequently determined to be defective.This limited warranty is given only to the original purchaser and does not extend to any subsequent purchaser or transferee of Products.Buyer is not entitled to extend or transfer this warranty to any other party. If Seller has not issued a Limited Warranty Certificate to Buyer, thiswarranty is in lieu of all other warranties, written or oral, statutory, express or implied, including any warranty of merchantability or fitness fora particular purpose.

7. LIMITATION OF CLAIMS. Seller will not be responsible for any harm arising out of Buyer’s purchase, possession or use of any Products,Buyer’s use of any function on Seller’s web-sites or any technical advice Seller may offer, except as agreed in the Limited Warranty set outabove or in case of gross negligence or willful misconduct. Seller will not be liable for damages whether consequential, special, incidental,exemplary or otherwise, including, but not limited to, loss of goodwill, profits or turnover, equipment downtime, repair or material cost, cost ofany substitute for the Products Buyer bought, claims of third parties or injury to person or property. Seller shall not be liable for any damage,injury, contamination or loss in case of breach by Buyer of its obligations under clause 12 and Buyer shall indemnify and hold Seller, itsemployees, suppliers and sub-contractors harmless against all claims, costs, loss or damages in connection with such breach. Conditionslimiting, excluding or establishing liability, which can be invoked by suppliers or independent contractors of Seller against Seller in respect ofthe goods delivered, may also be invoked against Buyer.

8. TECHNICAL ADVICE AND OTHER SERVICES. Buyer is responsible for the design, processing, testing and labeling of any productproduced using Seller’s Products and Buyer will not rely on anything on Seller’s web site or any statement by Seller about the suitability ofProducts Seller provides. Buyer is responsible for testing and investigating Products sold by Seller to form an independent judgmentconcerning their suitability for the use, conversion or processing intended by Buyer and will not make any claim against Seller based onSeller’s technical advice, statements, data, services or recommendations.

9. INTELLECTUAL PROPERTY. Any suggestions Seller makes about possible applications, designs or uses of Seller’s Products do not giveBuyer a license under any intellectual property right covering such applications, designs or uses, nor are they a recommendation for use ofsuch Products, applications or designs which may infringe any intellectual property right. Seller will defend Buyer if there is a claim thatProducts, as delivered to Buyer infringe another person’s intellectual property rights, and if necessary will either refund the purchase price orobtain for Buyer a license under those intellectual property rights. The foregoing sentence states the entire obligation of Seller for intellectualproperty infringement by any Product sold hereunder.

10.EVENTS BEYOND SELLER’S CONTROL. Seller shall not be responsible if Seller’s performance of any obligation hereunder becomes, inwhole or in part, temporarily or not, impossible or commercially unreasonable due to any cause or event beyond Seller’s reasonable control,including, without limitation, extreme weather conditions, natural catastrophe, warfare, terrorist activity, fire, acts of any governmentalauthority, site or building blockades, transport interruptions, strikes, specific work interruptions or work-to-rule slowdowns and lockout,April 2005machine breakdown, delay in the provision to Seller of parts, goods or services ordered from third parties, accidents and interruptions ofbusiness operations. If such event occurs on the part of Seller, Seller shall not be liable and its obligations are suspended. If the event lastslonger than 90 days, both Seller and Buyer may rescind the non-feasible parts of the agreement by a written declaration.

11.ENVIRONMENTAL, HEALTH AND SAFETY COMPLIANCE. Seller will give Buyer Material Safety Data Sheets (“MSDSs”) and Buyer willprovide the MSDSs to all those required by law to receive them. Buyer will take such precautions as may be appropriate for hazardsidentified in the MSDSs and properly manage and dispose of all wastes and residues resulting from its use of Products, including anydisposable packaging, in accordance with applicable laws and regulations.

12.EXPORT CONTROL COMPLIANCE. Buyer ensures that Products, technology or software Buyer receives from Seller are exported byBuyer only in compliance with applicable export control laws. Buyer agrees that it will not use or knowingly support the use by others of suchProducts, technology or software in the design, development, production or use of nuclear, chemical or biological weapons or ballisticmissiles.

13.ELECTRONIC COMMERCE. Seller may offer Products for sale using the Internet, e-mail or other electronic communications methods. Allsales of Products made using any such method will be governed by the terms of the governing sales agreement, and by any additional termsset out or referenced in Seller’s Internet site or electronic communications. In the event of any conflict between the governing salesagreement or such additional terms and these terms and conditions, the governing sales agreement or such additional terms shall prevail.Buyer may not share any password, access code or similar credential which may be issued to it by Seller, and Seller reserves the right tosuspend or revoke any such credential. Buyer is solely responsible for ensuring the security and integrity of its ordering process. Anyinformation provided by Seller via any Internet site or electronic communication (i) is subject to correction or change without notice, and (ii) isprovided for the sole use of Buyer for purposes of facilitating individual transactions involving the purchase and sale of Products. Buyeragrees that it shall not rely upon any such information for any purpose other than making individual purchases and shall not seek to assertsuch information against Seller for any other purpose. Buyer specifically agrees that Seller may issue electronic order acceptances orconfirmations and electronic invoices for any purchases of Products made using the Internet, e-mail or any other electronic communicationsmethod, and agrees to honor such order acceptances or confirmations and invoices as if they had been delivered in writing.

14.TERMINATION FOR DEFAULT. If Buyer does not fulfil its obligations, does not fulfil them timely or adequately, is declared bankrupt,requests (temporary) moratorium, or proceeds with the liquidation of its business, as well as when its assets are attached in whole or in part,Seller has the right to suspend the performance of any obligation hereunder or to rescind the agreement in whole or in part, without priornotice or default, by written declaration, at its option and always reserving any rights to which it is entitled with respect to compensation forcosts, damage and interest. In these cases, all of Seller’s claims against Buyer are immediately and totally due. Buyer is authorized torescind the agreement only in the events referred to in these terms and conditions, and then only after payment to Seller of all amounts owedto Seller at that time, whether due or not.

15. GENERAL. Cancellation of or changes to any order, refusal to take delivery or return of any conforming Product purchased hereunder, willbe subject to acceptance by Seller and to a cancellation fee in accordance with Seller’s policy then in effect. Neither course of performanceor dealing, nor usage or trade, nor prior writings or agreements shall be used to qualify, explain or supplement any of these terms andconditions. Failure by either party, at any time or from time to time, to require the performance by the other of any term or provision hereofshall not constitute a waiver of such term of provision. The invalidity, in whole or in part, of any provision herein, shall not affect any otherprovision herein, each of which shall be enforced to the full extent permitted by law.

CONDICIONES GENERALES DE VENTA

1. DEFINICIONES. El presente documento puede haber sido entregado por SABIC Innovative Plastics Ibérica, S.L. en calidad de agente yrepresentante de otra entidad. De ser así, la otra entidad en cuestión se mencionará en la confirmación de pedido o factura y cualquierreferencia al “Vendedor” efectuada en el presente documento se entenderá referida a dicha otra entidad. Si no se hace mención a dicha otraentidad, SABIC Innovative Plastics Ibérica, S.L. será el Vendedor. En adelante, se entenderá por “Producto” cualquier producto o servicio vendidopor el Vendedor, y por el “Comprador” aquella parte que adquiere cualquier Producto del Vendedor. Incluso si el Comprador envía al Vendedorotro modelo de contrato, o modificaciones al presente contrato, y el Vendedor no responde, las presentes condiciones regirán el acuerdo entre elVendedor y el Comprador. Si el Comprador no acepta estas condiciones, le rogamos llame a un representante del servicio de Atención alCliente del Vendedor para comentar las modificaciones. Cualquier modificación que se realice deberá efectuarse por escrito y ser firmada por elVendedor.

2. CONDICIONES GENERALES DE VENTA. Cualquier Producto que el Comprador adquiera del Vendedor, queda sujeto a lo siguiente:
a. Si el Comprador ya dispone de un contrato de venta suscrito con el Vendedor, los términos de dicho contrato serán aplicados a las comprasefectuadas por el Comprador y las presentes condiciones generales de venta solo serán de aplicación en todo aquello que no contradiga alreferido contrato.
b. Si el Comprador no dispone de un contrato de venta suscrito con el Vendedor, entonces el presente documento representa la totalidad delcontrato de venta entre el Comprador y el Vendedor, que se regirá por el derecho sustantivo del Reino de España. La jurisdicción exclusivacorresponderá a los tribunales de Barcelona (España). La Convención de las Naciones Unidas sobre la Compraventa Internacional deMercaderías no resultará de aplicación a cualquier venta de Productos.

3. PRODUCTOS. Los Productos vendidos son los que se describen en la confirmación del pedido emitida por parte del Vendedor, salvo que, encaso de discrepancia entre el pedido del Comprador y la confirmación del mismo, el Comprador, dentro del plazo de diez (10) días desde larecepción de la confirmación del pedido por el Vendedor, notifique por escrito al Vendedor su disconformidad. Salvo que se haya pactado deotro modo por escrito, a los efectos de fomentar su uso seguro y efectivo, todos los Productos son entregados únicamente para el uso yconsumo del Comprador y el Comprador deberá mantener indemne al Vendedor frente cualquier reclamación de terceros por la reventa,transmisión o uso de cualquiera de los referidos Productos.

4. PRECIO. Los precios de los Productos vienen determinados por la confirmación del pedido emitida por el Vendedor y proporcionada alComprador o, en el supuesto de ausencia de dicha confirmación, por la lista de precios del Vendedor vigente en el momento del envío. Salvoque se haya pactado de otro modo por escrito, todos los precios serán CIF/CIP (Incoterms 2000) en las instalaciones que especifique elComprador y el pago será exigible dentro del plazo de treinta (30) días desde la fecha de la factura. El Comprador no tendrá derecho a realizarninguna deducción en los pagos adeudados al Vendedor alegando una compensación con importes a percibir del Vendedor o una reclamaciónefectuada por el Comprador. El Vendedor tendrá derecho a reclamar en todo momento el pago íntegro o parcial por adelantado y/o la obtenciónde garantías de pago. El retraso en el pago constituye inmediatamente un incumplimiento sin previo aviso y los intereses previstos en la Ley seaplicarán automáticamente. El Comprador deberá rembolsar al Vendedor todos los costes relativos al cobro de deudas del Comprador así comolos costes legales relacionados, incluso cuando excedan del importe de los costes legalmente reconocidos. El Vendedor podrá ceder, encualquier momento, sus facturas a una empresa de “factoring”, en cuyo caso, los pagos deberán hacerse en la cuenta mencionada en la factura.En el supuesto que el coste de los Productos para el Vendedor se haya incrementado como consecuencia de un incremento de los costesexternos o una modificación de tasas de cambio o un aumento en el precio de la materia prima del Vendedor o por el incremento/creación porparte de autoridades públicas de precios preestablecidos de compra/venta, impuestos, tasas y otros tributos, el Vendedor tiene derecho aaumentar los precios de todos los pedidos aún no enviados al Comprador, siempre que el Vendedor haya notificado por escrito al Compradordicho incremento de precios con al menos quince (15) días de antelación a la fecha de su aplicación. El precio de los Productos cuyo pedido seencuentre confirmado por el Vendedor pero que todavía no hayan sido enviados a la fecha de efectos de dicho incremento será recalculado deconformidad con el incremento.

5. ENTREGA. Cualquiera de las fechas de entrega indicadas en la aceptación o confirmación del Vendedor son estimatorias. El Vendedor nopodrá garantizar la entrega en una fecha específica y el Comprador acepta una variación de hasta el 10 % en la cantidad. Se facturará alComprador la cantidad efectivamente entregada. La cantidad registrada en el punto de carga, en el equipo de pesado oficialmente calibrado delVendedor, será aceptada por ambas partes como correcta. La entrega podrá ser efectuada en plazos y podrá ser demorada mientras elComprador se encuentre retrasado en el cumplimiento de cualquiera de sus obligaciones frente al Vendedor. En ningún caso, el Vendedor seráresponsable de pérdidas o daños, cualquiera que sea su naturaleza, derivados de una demora en la entrega (incluso si se trata de una entrega aplazos), independientemente del motivo que haya ocasionado la demora, salvo que la misma sea atribuible a culpa grave o dolo del Vendedor.Si el Comprador se niega a aceptar la entrega de Productos o cualquier entrega parcial de los mismos, el Vendedor, sin perjuicio de otrosderechos de los que disponga, podrá disponer el almacenamiento de los Productos a cuenta y riesgo del Comprador. Todo riesgo de daños opérdidas se transmite al Comprador en el momento en que los Productos hayan sido puestos a disposición de un transportista comercial para suenvío. El Vendedor conservará la titularidad de los productos entregados al Comprador hasta que el mismo haya dado cumplimiento a todas lasobligaciones que para él resulten de cualquier contrato de ventas suscrito con el Vendedor. El Comprador asigna al Vendedor las gananciasderivadas de la reventa de bienes fabricados a partir de Productos vendidos por el Vendedor.

6. GARANTÍA LIMITADA. Podrán expedirse Certificados de Garantía Limitada para Productos específicos en placa y film. Si no se expide dichocertificado al Comprador, el Vendedor garantiza que todos los Productos vendidos al Comprador se ajustarán a las especificaciones delfabricante establecidas en la certificación del Producto entregada al Comprador. El Comprador examinará todos los Productos inmediatamentetras su recepción para identificar posibles daños, defectos o mermas en los mismos y notificará inmediatamente por escrito al Vendedorcualquier daño, defecto o merma que haya encontrado. Cualquier defecto encontrado por el Comprador deberá ser notificado por escrito alVendedor, en el momento que se produzca antes en el tiempo, dentro del plazo de treinta (30) días a partir del envío o antes de la fecha en laque los Productos sean utilizados. Si se determina que algún Producto no se ajusta a la garantía establecida con anterioridad, el Vendedorpodrá optar, a su elección, por reemplazar el Producto defectuoso o devolver el precio de compra. El Comprador no devolverá los Productosdefectuosos hasta que sea autorizado a hacerlo por el Vendedor. Este es el único recurso del Comprador para el supuesto de incumplimiento degarantía y defectos del Producto. En el supuesto que cualquier legislación aplicable prohibiera esta limitación de los recursos del Comprador, elVendedor acuerda que la cantidad máxima que el Vendedor podrá reclamar al Comprador será el importe equivalente al doble del precio decompra neto efectivamente pagado por el Comprador al Vendedor por el Producto que haya sido determinado defectuoso. Esta garantía limitadaúnicamente se concede al comprador inicial y no se extiende a sucesivos compradores o transmitentes de Productos. El Comprador no estaráfacultado para extender o transmitir la presente garantía a ningún tercero. Si el Vendedor no expide un Certificado de Garantía Limitada alComprador, esta garantía sustituye a cualesquiera otras garantías, escritas o verbales, previstas legalmente, expresas o implícitas, incluyendocualquier garantía de comerciabilidad o adecuación a un fin concreto.

7. LIMITACIÓN DE RECLAMACIONES. El Vendedor no será responsable de ningún daño resultante de la compra, posesión o uso decualesquiera Productos por parte del Comprador, del uso por parte del Comprador de cualquier función de los sitios Web del Vendedor o decualquier asesoramiento técnico que el Vendedor pueda ofrecer, excepto por lo establecido en la garantía limitada a la que se hace referenciacon anterioridad o en caso de culpa grave o dolo. El Vendedor no será responsable de daños y perjuicios ya sean consecuentes, especiales,incidentales, ejemplares o de cualquier otro tipo, incluyendo pero no limitados a los resultantes de la pérdida de clientela, de reputacióncomercial del Comprador, de beneficios o volumen de facturación, del tiempo de inactividad de equipos, de la reparación o costes de material,de los costes de cualquier sustituto de los Productos que el Comprador adquirió, de reclamaciones de terceros o de daños materiales opersonales. El Vendedor no será responsable de ningún daño, lesión, contaminación o pérdida en el supuesto de incumplimiento por parte delComprador de las obligaciones establecidas en la Cláusula 12 y el Comprador dejará indemne al Vendedor, sus empleados, proveedores osubcontratistas frente a cualquier reclamación, coste, pérdida o daño derivado de dicho incumplimiento. Las condiciones de limitación, exclusiónApril 2005o de establecimiento de responsabilidad que puedan ser alegadas por los proveedores o contratistas del Vendedor frente al mismo en relacióncon los Productos entregados, podrán alegarse asimismo frente al Comprador.

8. ASESORAMIENTO TÉCNICO Y OTROS SERVICIOS. El Comprador es responsable del diseño, procesamiento, realización de pruebas yetiquetaje de cualquier Producto producido, utilizando los Productos del Vendedor y el Comprador no confiará en ninguna información del sitioWeb del Vendedor ni en ninguna declaración del Vendedor en relación con la idoneidad de los Productos que el Vendedor facilita. El Compradores responsable de probar e investigar los Productos vendidos por el Vendedor al objeto de formarse una opinión independiente en relación consu idoneidad para el uso, transformación o procesamiento que pretenda darles el Comprador, y no efectuará ninguna reclamación al Vendedorbasada en el asesoramiento técnico, manifestaciones, datos, servicios o las recomendaciones facilitadas por el Vendedor.

9. PROPIEDAD INDUSTRIAL E INTELECTUAL. Cualquier sugerencia que el Vendedor realice en relación con posibles aplicaciones, diseños ousos de sus Productos no otorga al Comprador una licencia, bajo cualquier derecho de propiedad industrial o intelectual, relativa a dichasaplicaciones, diseños o usos, ni representa una recomendación para el uso de dichos Productos, usos o diseños que pueda infringir cualquierderecho de propiedad industrial o intelectual. El Vendedor defenderá al Comprador frente a una reclamación relativa a que los Productos, tal ycomo fueron entregados al Comprador, infringen los derechos de propiedad industrial o intelectual de otra persona y, si fuera necesario, o bienreembolsará el precio de compra u obtendrá para el Comprador una licencia de dichos derechos de propiedad industrial o intelectual. Loestablecido en el presente párrafo refleja la totalidad de las obligaciones del Vendedor resultantes del hecho de que cualesquiera Productosvendidos como consecuencia del presente acuerdo infrinjan derechos de propiedad industrial o intelectual.

10. HECHOS AJENOS AL CONTROL DEL VENDEDOR. El Vendedor no será responsable si el cumplimiento por su parte de cualesquiera de lasobligaciones derivadas del presente acuerdo resultan, total o parcialmente, de forma temporal o permanente, imposible o comercialmenteirrazonable debido a causas o situaciones que se encuentran fuera del control razonable del Vendedor, incluyendo, pero no limitadas a,condiciones climatológicas extremas, catástrofes naturales, guerras, actos terroristas, incendios, actos de cualquier autoridad gubernamental,piquetes, interrupciones del transporte, huelgas, interrupciones especificas del trabajo o huelga de celo y cierres patronales, averías de lasmáquinas, demora en el suministro al Vendedor de piezas, bienes o servicios solicitados a terceros, accidentes e interrupciones de operacionescomerciales. En el supuesto que ocurra alguna de las referidas circunstancias que afecte al Vendedor, éste no responderá en ningún caso y susobligaciones quedarán suspendidas. Si esta situación se prolonga durante un plazo superior a noventa (90) días, el Vendedor y el Compradorpodrán rescindir unilateralmente las partes del contrato de imposible cumplimiento mediante una declaración por escrito.

11. MEDIOAMBIENTE, SALUD Y CUMPLIMIENTO DE MEDIDAS DE SEGURIDAD. El Vendedor proporcionará al Comprador la Base de Datos deSeguridad (“MSDSs”) y el Comprador facilitará la MSDSs a todos aquellos que la ley establezca que deban recibirla. El Comprador adoptará lasprecauciones que sean necesarias en relación con los peligros identificados en la MSDSs y gestionará y se deshará de todos los desperdicios yresiduos que resulten de la utilización de los Productos, incluso llevando a cabo el embalaje o empaquetado de desecho, de conformidad con loestablecido en la legislación vigente.

12. CUMPLIMIENTO DE CONTROL DE EXPORTACIONES. El Comprador asegura que los Productos, la tecnología o el software que reciba delVendedor únicamente serán exportados por el Comprador de conformidad con las leyes aplicables a la exportación. El Comprador no utilizará, niapoyará intencionadamente la utilización por terceros de los referidos Productos, tecnología o software para el diseño, desarrollo, producción outilización de armas nucleares, químicas o biológicas o mísiles balísticos.

13. COMERCIO ELECTRÓNICO. El Vendedor podrá ofertar la venta de los Productos a través de Internet, por correo electrónico o mediante otrosmedios de comunicación electrónica. Todas las ventas de Productos realizadas utilizando dichos medios se regirán por los términos ycondiciones aplicables al contrato de venta y por cualesquiera términos y condiciones adicionales incluidos o a los que se haga referencia enlos sitios web y en las comunicaciones electrónicas del Vendedor. En caso de conflicto entre el contrato de venta aplicable o los referidostérminos y condiciones adicionales, y las presentes condiciones generales de venta, prevalecerán los primeros frente a los segundos. ElComprador no podrá compartir ninguna contraseña, código de acceso o credencial similar que pueda concederle el Vendedor, y el Vendedor sereserva el derecho a suspender o revocar cualquiera de dichas credenciales. El Comprador es el único responsable de garantizar la seguridad eintegridad de su proceso de realización de pedidos. Cualquier información facilitada por el Vendedor electrónicamente o a través del sitio Web (i)queda sujeta a corrección o modificación sin preaviso, y (ii) se proporciona para uso exclusivo del Comprador a efectos de facilitar lasoperaciones individuales que impliquen la compraventa de Productos del Vendedor. El Comprador no se basará en dicha información paraningún fin distinto de la realización de compras individuales y no utilizará la misma frente al Vendedor con ningún otro fin. El Comprador aceptaexpresamente que el Vendedor podrá emitir confirmaciones o aceptaciones de pedidos y facturas electrónicas para cualquier compra deProductos realizada a través de Internet, por correo electrónico, o cualquier otro método de comunicación electrónica, y acepta cumplir dichasaceptaciones o confirmaciones y facturas como si hubiesen sido formalizadas por escrito.

14. RESOLUCIÓN POR INCUMPLIMIENTO. Si el Comprador no cumple sus obligaciones, no las cumple en plazo o correctamente, es declaradoen situación de quiebra, suspensión de pagos o adopta cualesquiera medidas dirigidas a la liquidación de su negocio, o si los activos delComprador son embargados, total o parcialmente, el Vendedor tendrá derecho a suspender el cumplimiento de cualquiera de sus obligaciones oa rescindir el contrato total o parcialmente, sin que medie preaviso o incumplimiento, mediante declaración por escrito, a su exclusiva discreción,y reservándose siempre los derechos que le correspondan en relación con la indemnización por costes, daños e intereses. En tales casos, todaslas reclamaciones del Vendedor frente al Comprador se considerarán total e inmediatamente vencidas. El Comprador está autorizado pararescindir el contrato en los supuestos previstos en las presentes condiciones generales, pero solo después de pagar todos los importes, ya seanvendidos o no, que en ese momento adeude al Vendedor.

15. GENERAL. La cancelación o modificación de cualquier pedido, la negación a aceptar la entrega o la devolución de cualquier Producto adquiridocumpliendo los términos aquí establecidos, estará sujeta a la aceptación por parte del Vendedor y al abono de los honorarios de cancelaciónfijados por el Vendedor, de acuerdo con la política del Vendedor vigente en ese momento. Ni la imposibilidad de cumplimiento, ni los usos o elcomercio, ni los acuerdos previos podrán ser utilizados para calificar, explicar o complementar cualquiera de las presentes condicionesgenerales de venta. El hecho de que, en cualquier momento o en alguna ocasión, cualquiera de las partes no requiera el cumplimiento por laotra parte de cualquier término o condición de las presentes condiciones generales de venta no constituye una renuncia a los efectos de dichotérmino o condición. La nulidad, en todo o parte, de cualquier término de las presentes condiciones generales de venta no afectará al resto desus términos, que serán obligatorios en el grado máximo permitido por la ley.

Allgemeine Verkaufs-, Liefer- und Leistungsbedingungen der SABIC Innovative Plastics GmbH

1.1. Geltungsbereich Es gelten ausschließlich die Verkaufs-, Liefer- und Leistungsbedingungen von SABIC Innovative Plastics GmbH (im folgendenVerkäufer). Entgegenstehende oder von den Verkaufsbedingungen des Verkäufers abweichende Bedingungen des Bestellers gelten nicht, es seidenn, der Verkäufer stimmt deren Geltung ausdrücklich schriftlich zu. Die Verkaufs-, Liefer- und Leistungsbedingungen des Verkäufers gelten auchdann, wenn der Verkäufer in Kenntnis entgegenstehender oder von seinen Verkaufsbedingungen abweichender Bedingungen des Bestellers dieLieferung an den Besteller vorbehaltlos ausführt.
1.2 Die Verkaufs-, Liefer- und Leistungsbedingungen des Verkäufers gelten nur gegenüber juristischen Personen des öffentlichen Rechts,öffentlich-rechtlichen Sondervermögen und Unternehmern.

2. Preise, Preiserhöhungen, Gefahrübergang

2.1. Es gelten die jeweils im Zeitpunkt des Vertragsschlusses gültigen Preise des Verkäufers.
2.2 Soweit sich aus der Auftragsbestätigung nichts anderes ergibt, erfolgt die Lieferung CIF/CIP (Incoterms 2000) an den vom Käufer benanntenBestimmungsort.
2.3 Der Verkäufer behält sich das Recht vor, die Preise angemessen zu ändern, wenn nach Abschluss des Vertrages Kostensenkungen oderKostenerhöhungen, insbesondere aufgrund von Tarifabschlüssen oder Materialpreisänderungen eintreten. Diese werden wir dem Besteller aufVerlangen nachweisen.

3. Zahlung und Zahlungsverzug
3.1 Die Rechnungen des Verkäufers sind sofort ohne Abzug zahlbar.
3.2 Bei Zahlungsverzug des Bestellers ist der Verkäufer berechtigt, Verzugszinsen in Höhe von 8 Prozentpunkten über dem Basiszinssatz zuverlangen. Das Recht des Verkäufers, einen weitergehenden Verzugsschaden geltend zu machen, bleibt unberührt.

4. Lieferzeit, Teillieferungen, Mehr- und Minderlieferungen
4.1. Vereinbarte Lieferfristen verlängern sich angemessen beim Eintritt unvorhersehbarer Hindernisse, die außerhalb der Einflussmöglichkeiten desVerkäufers liegen, wie beispielsweise Streik und Aussperrung, Betriebsstörungen, Verzögerungen in der Anlieferung wesentlichen Vormaterials,und zwar gleichgültig, ob diese Hindernisse bei uns oder bei unserem Lieferwerk eintreten. Treten solche Umstände ein, sind beide Parteienberechtigt, vom Vertrag zurückzutreten.
4.2 Vereinbarte Lieferfristen stehen unter dem Vorbehalt der richtigen und rechtzeitigen Selbstbelieferung.
4.3 Der Verkäufer ist zur zumutbaren Teillieferung berechtigt.
4.4 Der Verkäufer ist zu angemessenen Mehr- und Minderlieferungen bis zu einer Grenze von 10 % der vereinbarten Liefermenge berechtigt.

5. Eigentumsvorbehalt
5.1 Die gelieferte Ware bleibt Eigentum des Verkäufers, bis alle gegenwärtigen Ansprüche des Verkäufers gegen den Besteller sowie die künftigen,soweit sie mit der gelieferten Waren im Zusammenhang stehen, erfüllt sind.
5.2 Der Besteller ist berechtigt, die in dem Eigentum des Verkäufers stehende Ware (Vorbehaltsware) im ordentlichen Geschäftsgang weiter zuveräußern. Er tritt jedoch bereits jetzt alle Forderungen aus dieser Weiterveräußerung an den Verkäufer ab, und zwar gleichgültig, ob dieVorbehaltsware ohne oder nach Verarbeitung weiter veräußert oder ob sie mit einem Grundstück oder mit beweglichen Sachen verbunden wirdoder nicht. Wird die Vorbehaltsware nach Verarbeitung oder zusammen mit anderen Waren, die dem Verkäufer nicht gehören, weiter veräußertoder wird sie mit einem Grundstück oder beweglichen Sachen verbunden, so gilt die Forderung des Bestellers gegen seinen Abnehmer in Höhedes zwischen dem Verkäufer und dem Besteller vereinbarten Lieferpreises für die Vorbehaltsware als an den Verkäufer abgetreten. Zur Einziehungdieser Forderung bleibt der Besteller auch nach der Abtretung ermächtigt. Die Befugnis des Verkäufers, die Forderung selbst einzuziehen, bleibthiervon unberührt. Der Verkäufer verpflichtet sich jedoch, die Forderung nicht einzuziehen, solange der Besteller seinen Zahlungsverpflichtungenordnungsgemäß nachkommt. Macht der Besteller von der Einziehungsbefugnis Gebrauch, so steht dem Verkäufer der eingezogene Erlös in Höhedes zwischen dem Besteller und dem Verkäufer vereinbarten Lieferpreises für die Vorbehaltsware zu.
5.4 Der Verkäufer verpflichtet sich, die ihm zustehenden Sicherheiten auf Verlangen des Bestellers insoweit freizugeben, als der realisierbare Wertder Sicherheiten die zu sichernden Forderungen um mehr als 10 % übersteigt.

6. Gewährleistungen
6.1 Gewährleistungsrechte des Bestellers setzen voraus, dass dieser seinen Untersuchungs- und Rügeobliegenheiten nach § 377 HGBordnungsgemäß nachgekommen ist.
6.2 Im Falle einer Reklamation hat der Besteller den Verkäufer umgehend über Lagerung, Vorbehandlung, Verarbeitung, Nachbehandlung,Transport und Verwertung der gelieferten Ware zu unterrichten.
6.3 Soweit ein vom Verkäufer zu vertretender Mangel der gelieferten Ware vorliegt, ist der Verkäufer nach seiner Wahl zur Nacherfüllung in Formder Mängelbeseitigung oder der Ersatzlieferung berechtigt. Schlägt die Nacherfüllung fehl ist der Besteller berechtigt nach seiner Wahl dieRückgängigmachung des Vertrages oder eine entsprechender Herabsetzung des Kaufpreises zu verlangen.Gewährleistungsansprüche gegen uns stehen nur dem unmittelbaren Käufer zu und sind nicht abtretbar.
6.4 Die Rechte des Käufers bei Mängeln der Kaufsache verjähren in einem Jahr ab Ablieferung der Kaufsache.
6.5 Der Verkäufer behält sich vor, für bestimmte Film- und Plattenprodukte sogenannte Limited Warranty Certificates herauszugeben. DieGewährleistungsrechte bestimmen sich in einem solchen Fall vorrangig nach diesen Limited Warranty Certificates.

7. Vergütung bei unberechtigtem Rücktritt des BestellersFür den Fall des Rücktritts (außer bei Bestehen eines Rücktrittsrechts des Bestellers), Änderung der Bestellung, Weigerung der Annahme derLieferung oder Rückgabe vertragsgemäßer Ware durch den Besteller schuldet der Besteller dem Verkäufer eine angemessene Vergütung nachMaßgabe der dann gültigen Richtlinien des Verkäufers.

8. Ausschluss und Beschränkung von SchadenersatzansprüchenSchadenersatzansprüche, gleich aus welchem Rechtsgrund, sind ausgeschlossen. Der Haftungsausschluss gilt nicht, soweit der Schaden auf einevorsätzliche oder grob fahrlässige Vertragsverletzung eines gesetzlichen Vertreters oder eines Erfüllungsgehilfen des Verkäufers zurückzuführenist, oder ein gesetzlicher Vertreter oder ein Erfüllungsgehilfen des Verkäufers schuldhaft eine wesentliche Vertragspflicht verletzt. Im Falle derVerletzung einer wesentlichen Vertragspflicht ist der Schaden jedoch der Höhe nach begrenzt auf Ersatz des typischen, vorhersehbaren Schadens.Der Haftungsausschluss gilt auch nicht für Schadenersatzansprüche nach dem Produkthaftungsgesetz oder für Schadenersatzansprüche wegendes Fehlens einer zugesicherten Eigenschaft.

9. Anwendungstechnische Beratung und sonstige ServiceleistungenSoweit der Verkäufer dem Besteller Informationen und Ratschläge betreffend die Produkte des Verkäufers erteilt, erfolgt dies auf Grundlage derallgemeinen Erfahrung des Verkäufers und nach dessen bestem Wissen. Der Verkäufer kann jedoch für die Richtigkeit dieser Informationen undRatschläge grundsätzlich keinerlei Gewähr übernehmen, da es eine Vielzahl von Faktoren gibt, welche den Gebrauch der Produkte beeinflussenkönnen und die außerhalb der Kontrolle und des Wissens des Verkäufers liegen. Es liegt im Verantwortungsbereich des Bestellers, dieGeeignetheit der vom Verkäufer zu liefernden Produkte für die vom Besteller beabsichtigten Zwecke zu überprüfen und zu testen.

10. PatenteVorschläge des Verkäufers über die Verwendung, die Gestaltung oder den Gebrauch der Produkte des Verkäufers geben dem Besteller keinerleiRecht oder Lizenz betreffend eines Patentes über diese Produkte, deren Gestaltung oder deren Gebrauch. Diese Vorschläge stellen auch keinerleiEmpfehlung für den Gebrauch dieser Produkte, Artikel oder deren Gestaltung dar, welche irgendeinen für diese Produkte bestehendes Patentverletzen könnte. Der Verkäufer wird den Besteller unterstützen, soweit ein Anspruch gegen den Besteller deshalb erhoben wird, weil angeblich dieProdukte des Verkäufers, so wie sie der Verkäufer an den Besteller geliefert hat, das Patent einer dritten Partei verletzen soll. Soweit erforderlich,wird der Verkäufer entweder den Verkaufspreis erstatten oder für den Besteller eine Lizenz unter diesen Patenten erwerben.

11. Beachtung der Export-KontrollvorschriftenDer Besteller versichert, dass er Produkte, Technologie oder Software, die er vom Verkäufer erwirbt, vom Besteller nur in Übereinstimmung mit dengesetzlichen Vorschriften einschließlich den geltenden Exportkontrollgesetzen exportieren wird. Der Besteller versichert, dass er die Produkte, dieTechnologie oder die Software nicht bei der Herstellung, der Entwicklung oder der Produktion von atomaren, chemischen oder biologischen Waffenoder ballistische Raketen einsetzen wird oder wissentlich einen solchen Gebrauch durch Dritte unterstützen wird.

12. Beachtung von umweltschutzrechtlichen BestimmungenDer Verkäufer wird dem Besteller Datensicherheitsblätter (Material Safety Data Sheets) zur Verfügung stellen. Der Besteller verpflichtet sich, dieseDatensicherheitsblätter allen Personen zugänglich zu machen, bei denen dies nach den gesetzlichen Bestimmungen erforderlich ist. Der Bestellerverpflichtet sich, Vorsichtsmaßnahmen gegen die in den Datensicherheitsblättern beschriebenen Gefahren zu treffen. Der Besteller verpflichtet sichweiter, die Abfälle und Rückstände, die aus dem Gebrauch der gelieferten Materialien durch den Besteller entstehen, in Übereinstimmung mit dengeltenden gesetzlichen Regelungen und Bestimmungen zu entsorgen. Der Besteller verpflichtet sich ebenfalls, das zu entsorgendeVerpackungsmaterial in Übereinstimmung mit den gesetzlichen Abfall- oder Recyclingbestimmungen zu entsorgen.

13. Electronic CommerceDer Verkäufer bietet seine Produkte auch unter Zuhilfenahme des Internet, E-Mail oder anderer computerunterstützter elektronischeKommunikationsmittel an. Soweit dem Besteller vom Verkäufer in diesem Zusammenhang Passwörter, Zugangscodes oder ähnliche Ausweise zurVerfügung stellt, ist der Besteller verpflichtet, diese sicher zu verwahren und nicht dritten Personen zugänglich zu machen. Der Verkäufer bleibtberechtigt, jederzeit diese Ausweise, Passwörter, Zugangscodes etc. zu widerrufen oder aufzuheben. Es obliegt allein dem Verantwortungsbereichdes Bestellers, Sicherheit und Integrität seines Bestellprozess zu sichern. Der Besteller erklärt sich damit einverstanden, dass der Verkäuferelektronische Auftragsbestätigungen erteilen und elektronische Rechnungen ausstellen darf, soweit die zugrunde liegenden Verkäufe mittelsInternet, E-Mail oder anderer computerunterstützter, elektronischer Kommunikationsmittel geschlossen wurden. Der Besteller verpflichtet sich,diese Auftragsbestätigungen und Rechnungen so zu behandeln, als wären diese schriftlich erteilt worden.

14. Anwendbares Recht, Schriftform
14.1 Es gilt als Recht der Bundesrepublik Deutschland mit Ausnahme des sogenannten einheitlichen UN-Kaufrechts (CISG).
14.2 Erfüllungsort und Gerichtsstand ist der Geschäftssitz des Verkäufers. Der Verkäufer ist jedoch berechtigt, den Besteller auch an jedemanderen allgemeinen Gerichtsstand zu verklagen.
14.3 Sämtliche Vereinbarungen, die zwischen dem Besteller und dem Verkäufer zwecks Ausführung dieses Vertrages getroffen wurden, sind indiesem Vertrag schriftlich niedergelegt.
14.4 Sollte eine Bestimmung dieses Vertrages unwirksam sein oder während der Vertragsdauer unwirksam werden, so wird der Vertrag in allenübrigen Bestimmungen dadurch nicht berührt und gilt unverändert weiter. Die unwirksame Bestimmung soll durch eine andere, zulässigeBestimmung ersetzt werden, die dem Sinn und Zweck der unwirksamen Bestimmung am nächsten kommt.

TERMS AND CONDITIONS OF SALE

1. DEFINITIONS AND APPLICATION “Seller” shall mean the company specified by SABIC Innovative Plastics Limited in any confirmation, acceptance or invoice. SABIC Innovative Plastics Limited is the agent of Seller. “Buyer” means any person (whether legal or natural) who orders or purchases Products from Seller. “Products” means any product or service sold by the Seller to Buyer. By ordering or purchasing Products from Seller, Buyer confirms that these Terms andConditions apply to all contracts for the sale of Products by Seller to Buyer. Even if Buyer sends Seller another form of agreement, or Buyer’s termsand/or conditions of purchase, or modifications to these Terms and Conditions, and Seller does not reject them, these Terms and Conditions will governthe agreement between Seller and Buyer. If Buyer does not accept these Terms and Conditions Buyer should call a Customer Service representative ofSeller to discuss modifications. Only modifications in writing and signed by Seller will be valid and of effect.

2. CONTRACTS OF SALE Any Products Buyer orders or purchases from Seller by electronic, phone, paper or any other form of transmission or meansare sold subject to these Terms and Conditions except where a formal sales agreement has been signed by both Seller and Buyer in which case anyterm in that agreement that conflicts with these Terms and Conditions will be applied to the sale and these Terms and Conditions will apply to the extentthat they do not conflict with that agreement.The entire contract of sale shall comprise (subject to the foregoing) these Terms and Conditions and any confirmation or acceptance by Seller of Buyer’sorder. The contract of sale shall be governed by English Law and Seller and Buyer submit to the non-exclusive jurisdiction of the English Courts.

3. PRODUCTS The Products sold are those described in Seller’s order confirmation, unless, in the event of a discrepancy between Buyer’s order andSeller’s confirmation, Buyer notifies Seller in writing of its disagreement, within a period of ten (10) days from the date of Seller’s confirmation. Unlessotherwise agreed in writing, in order to promote their safe and effective use, all Products are provided solely for use or consumption by Buyer and Buyershall hold harmless and indemnify Seller against any claim from third parties related to the resale, transfer or use of any such Products.

4. PRICE Prices are exclusive of Value Added Tax (“VAT”) which shall be due at the rate ruling on the date of Seller’s invoice. Product prices are asspecified in the confirmation or acceptance Buyer receives from Seller, or in the absence of such confirmation or acceptance, by Seller’s list prices ineffect at the time of shipment. Unless otherwise stated delivery will be CIF or CIP (INCOTERMS 2000) and payment will be due within 30 days of theinvoice date. Buyer may not set off against Product prices amounts due from Seller to Buyer. Time for payment shall be of the essence Buyer agreesto reimburse Seller the costs incurred by Seller in recovering unpaid sums which are not paid when due and interest on any such sums calculated at theBase Rate of Barclays Bank plc plus 4% on a daily basis. In the event that after the confirmation or acceptance by Seller of Buyer’s order, the cost toSeller of producing or obtaining the Products has increased as a result of an increase in external costs or a modification of rates of exchange or increasein Seller’s raw material or input buying prices, taxes, duties or other levies imposed by public authorities, Seller has the right to increase the pricesaccordingly by fifteen (15) days’ notice in writing to Buyer. If Seller increases price in accordance with the foregoing Buyer shall be entitled to terminatethe contract of sale provided Seller receives written notice of such termination before the expiry of Seller’s notice in writing to Buyer of the price increaseand upon such termination neither party shall have any liability to the other in respect of the contract of sale or its termination.

5. ASSIGNMENT OF ACCOUNTS All payments due from Buyer under the contract of sale have been purchased by and assigned to SABIC CapitalCommercial Finance BV, to whom payment should be made direct c/o SABIC Capital Commercial Finance Limited at Old Hall Road, Sale, Cheshire, M33 2HG, or by credit transfer to SABIC Capital Commercial Finance BV’s account number 20989576, at Barclays Bank plc, Lombard St. London EC3V 9EX,Sortcode 20-00-00. Only payment to or for the credit of SABIC Capital Commercial Finance BV, as detailed above, will discharge Buyer’s obligations toSeller in respect of payments due under the contract of sale and SABIC Capital Commercial Finance BV should be advised directly of any claim or dispute.

6. DELIVERY, SHORTAGES DAMAGE AND/OR LOSS IN TRANSIT Any delivery dates Seller quotes or sets out in Seller’s confirmations or acceptancesof Buyer’s orders are estimates. Seller cannot guarantee delivery on a specific date and may make variations up to 10% in the quantity of the Productsdelivered. The quantity recorded on Seller’s officially calibrated weighing equipment at the point of loading shall be accepted by both parties as correct.No claim for non-delivery of part of a consignment or for damage in transit, corrosion, shortage of delivery, deviation, delay or detention will beentertained unless a separate notice in writing is given to the carrier concerned and to Seller within three (3) days of receipt of the Products and acomplete claim in writing is made to Seller within five (5) days of receipt of the Products. In the case of non-delivery of a whole consignment, notice inwriting must be given to the carrier concerned and to Seller within ten (10) days of the date of dispatch. Where Products, are accepted, without beingchecked the delivery book of the carrier concerned must be signed 'not examined'. Where such Products are signed not examined they shall be deemedto be unconditionally accepted by Buyer unless Buyer gives written notification to Seller within the three (3) day period as aforesaid. The Products inrespect of which any such claim is made shall be preserved intact as delivered for a period of fourteen (14) days from notification of the claim withinwhich time Seller and the carrier shall have the right to attend at Buyer’s works to investigate the complaint. Any breach of this condition shall not entitleBuyer to any allowance in respect of the claim

7. RESERVATION OF TITLE The risk in the Products shall pass to Buyer upon delivery but the Products shall remain Seller’s property until the Productshave been paid for and all other monies owing by Buyer to Seller have been made in full and unconditionally. In the event of any re-sale by Buyer of theProducts, Seller’s entitlement shall attach to the proceeds of sale so that such proceeds or any claim therefore shall be assigned to Seller and until suchassignment should be held on trust in a separate identified account for Seller by Buyer. In the event of failure to pay the price in accordance with thecontract Seller shall have power to re-sell the Products such power being additional to (not in substitution for) any other power of sale arising byoperation of law or implication or otherwise. For such purpose Seller and its servants and agents may forthwith enter upon any premises or landoccupied or owned by Buyer to remove the Products.

8. LIMITED WARRANTY Limited Warranty Certificates may be issued for specific sheet and film Products. If no such certificate has been issued to Buyer,Seller warrants that Products sold by Seller will at the time of delivery to Buyer conform to the manufacturer’s specifications as set forth in the applicableProduct certification delivered to Buyer. Buyer will inspect all Products Buyer receives for damage, defect or shortage promptly after Buyer receivesthem, and will give Seller prompt notice of any damage, defect or shortage that Buyer finds and in any event within thirty (30) days after the date ofdelivery or the date the Products are used, whichever comes first. If Products do not meet the warranty set out herein Seller may, at Seller’s option andas Seller’s sole liability therefor either replace such Products or refund the purchase price therefor. Replacement of Products or refund of the purchaseprice therefor is Buyer’s sole remedy for breach of warranty. Buyer shall not return Products until Seller agrees that Buyer may do so. This limitedwarranty is given only to Buyer and Buyer is not entitled to extend or transfer this warranty to any other party. If Seller has not issued a Limited WarrantyCertificate to Buyer, this warranty is in lieu of all other warranties, conditions or terms written or oral, statutory, at common law, express or implied,including those of merchantability, fitness for purpose or condition.

9. LIMITATION OF LIABILITY The following provisions set out the entire financial liability of the Seller to Buyer in respect of: (a) any breach of theseTerms and Conditions; (b) any use made or resale by Buyer of any of the Products; and (c) any representation, statement or tortious act or omissionincluding negligence arising under or in connection with Seller’s supply or failure to supply Products, or any contract of sale for the supply of Products orany information (as defined in Article 9) provided by Seller in connection with the Products. All warranties, conditions and other terms implied by statuteor common law (save for the conditions implied by Section 12 of the Sale of Goods Act 1979) are, to the fullest extent permitted by law, excluded fromthe contract of sale. Nothing in these Terms and Conditions excludes or limits the liability of Seller; (a) for death or personal injury caused by Seller’snegligence; or (b) under Section 2(3) Consumer Protection Act 1987; or (c) for any matter which it would be illegal for Seller to exclude or attempt toexclude its liabilities; or (d) for fraud or fraudulent misrepresentation. Seller will not be responsible for any loss suffered by Buyer arising out of Buyer’suse of any Products supplied by Seller. Seller will not be liable for indirect or consequential loss or damages, including, but not limited to, loss of profits,or of business, or of revenue, or of goodwill, or of anticipated savings, or costs of any substitute for the Products Buyer buys. Seller’s liability to Buyer inrespect of all causes of action arising in contract, tort or otherwise (including without limiting the generality of the foregoing liability for negligence orbreach of statutory duty) under, in connection with or arising out of Seller’s supply or failure to supply Products, or any contract of sale for the supply ofProducts or any Information (as defined in Article 9) provided by Seller in connection with the Products, shall not exceed the price of the Products.

10. TECHNICAL ADVICE AND OTHER SERVICES Buyer is responsible for the design, processing, testing and labeling of any item that Buyer makes usingProducts Buyer buys from Seller. Buyer is responsible for testing and investigating Products sold by Seller enough to form an independent judgmentconcerning their suitability for the use, conversion or processing intended by Buyer. Buyer will not rely on anything on Seller’s web site (includingfunctions such as Ask Edison or Seller’s Wizards) or any statement by Seller about the suitability of Products or services Seller provides or Seller’stechnical advice, statements, data, services or recommendations (collectively “Information”) unless Seller specifically confirms such Information in writingand in such confirmation makes reference to this Article 9.

11. INTELLECTUAL PROPERTY Any suggestions Seller makes about possible applications, designs or uses of Seller’s Products do not give Buyer alicense under any patent, copyright, design right or any other intellectual property right covering such applications, designs or uses, nor are they arecommendation for use of such Products, applications or designs if they may infringe any patent, copyright, design right or any other intellectualproperty right. Seller will defend Buyer if there is a claim that Seller’s Products, as Seller delivers them to Buyer, infringe another person’s patents,copyrights, design rights or other intellectual property rights and if necessary will either refund the purchase price or obtain for Buyer a license underthose patents, copyrights, design rights or other intellectual property rights provided Buyer gives Seller immediate notice of the claim, makes noadmission in respect of the claim, permits Seller to defend the claim and have conduct of all matters relating to the claim on behalf of and in the name ofBuyer, and gives Seller (at Seller’s expense) all necessary information and assistance requested by Seller. The foregoing reflects the entire obligation ofSeller for Intellectual Property infringement by any Product sold hereunder.

12. EVENTS BEYOND SELLER’S CONTROL Seller will not be liable for failure to perform under any contract for reasons beyond its reasonablecommercial control including, without limitation, extreme weather conditions, natural catastrophe, warfare, terrorist activity, fire, acts of any governmentalauthority, site or building blockades, transport interruptions, strikes, specific work interruptions or work-to-rule slow-downs and lock-out, machinebreakdown, delay in the provision to Seller of parts, goods or services ordered from third parties, accidents and interruptions of business operations andraw material shortages. If the event in question continues for a continuous period in excess of 90 days, Either party shall be entitled to give notice inwriting to the Seller to terminate the contract or any part thereof.

13. ENVIRONMENTAL AND HEALTH AND SAFETY COMPLIANCE Seller will give Buyer Material Safety Data Sheets (“MSDSs”) and Buyer will providethe MSDSs to all those required by law to receive them. Buyer will take such precautions as may be appropriate for hazards identified in the MSDSs andproperly manage and dispose of all wastes and residues resulting from Buyer’s use of the Products including any disposible packaging and materials inaccordance with applicable laws and regulations. Buyer agrees to dispose of disposable packaging as required by any applicable disposal or recyclinglaws.

14. EXPORT CONTROL COMPLIANCE Buyer will ensures that Products, or technology or software Buyer receives from Seller are not exported by Buyer inbreach of U.S. export control laws and English law. Buyer agrees that it will not use or knowingly support the use by others of such Products, ortechnology or software in the design, development, Production or use of nuclear, chemical or biological weapons or ballistic missiles.

15. ELECTRONIC COMMERCE Seller may offer Products for sale using the Internet, e-mail or other computer-based electronic communications methods.All sales of Products made using any such method will be governed by the terms of the formal sales agreement referred to in Article 2 above, any othergoverning sales agreement, and by any additional terms set out or referenced in Seller’s Internet site or electronic communications and these Terms andConditions. In the event of any conflict between the formal sales agreement or other governing sales agreement or such additional terms and theseTerms and Conditions, the formal sales agreement or the governing sales agreement or such additional terms as the case may be shall prevail. Buyermay not share any password, access code or similar credential which may be issued to it by Seller, and Seller reserves the right to suspend or revokeany such credential. Buyer is solely responsible for ensuring the security and integrity of its ordering process. Any information provided by Seller via anyInternet site or electronic communication (i) is subject to correction or change without notice, and (ii) is provided for the sole use of Buyer for the purposeof facilitating individual transactions involving the purchase and sale of Seller’s Products. Buyer agrees that it shall not rely upon any such informationfor any purpose other than making individual purchases and shall not seek to assert such information against Seller for any other purpose. Buyerspecifically agrees that Seller may issue electronic order acceptances or confirmations and electronic invoices for any purchases of Products made usingthe Internet, e-mail or any other computer-based electronic communications method, and agrees to accept and honor such order acceptances orconfirmations and invoices as if they had been delivered in writing.

16.TERMINATION FOR DEFAULT Seller may terminate any contract upon thirty (30) days’ prior written notice, in the event Buyer breaches any termthereof and fails to cure such breach within such period of notice. Without prejudice to Seller’s right of termination Seller may suspend deliveries ofProducts without liability to Buyer in the event Buyer breaches any terms of any contract. Seller may terminate any contract immediately by written noticeif Seller shall become bankrupt, or shall resolve or have an order made against it for it to be wound up other than for the purposes of a solventreconstruction or amalgamation, or shall have an individual member or partner or corporate member to which the foregoing applies, or shall have areceiver, manager or administrative receiver appointed, or a receiving order or administration order is made for the benefit or on behalf of a creditor inrespect of its business, assets or property or any part thereof, or shall make any arrangement or composition, including a Voluntary Arrangement underthe Insolvency Act 1986, with or for the benefit of a creditor, or shall become unable to pay or have no reasonable prospect of being able to pay its debts,or have a distress levied against it, or shall fail to satisfy a statutory demand served on it under Section 123 (1)(a), Section 268 (1)(a) or Section 222 ofthe Insolvency Act 1986, as appropriate, or shall call or cause to be called apply or have application made for a meeting of its creditors or any class ofcreditor, or shall have circumstances similar to those specified above arise in relation to it or its business in any country other than England.

17.THIRD PARTY RIGHTS A person who is not a party to any contract shall not derive the right to enforce any of the terms of any contract by virtue of theContracts (Rights of Third Parties) Act 1999.

18. GENERAL The unilateral cancellation of or changes to any order, refusal to take delivery or return of any conforming Product purchased hereunder, willbe subject to acceptance by Seller and, in the event of such acceptance, to a cancellation fee in accordance with Seller’s policy as set out in Seller’sorder confirmation. Buyer acknowledges that such cancellation fee is a reasonable and genuine pre-estimate of the losses, which Seller shall suffer andshall not be treated as a penalty but shall be paid as liquidated damages. Neither course of performance or dealing, nor usage or trade, nor prior writingsor agreements shall be used to qualify, explain or supplement any of these terms and conditions. Failure by either party, at any time or from time to time,to require the performance by the other of any term or provision hereof shall not constitute a waiver of such term of provision. The invalidity, in whole orin part, of any provision herein, shall not affect any other provision herein, each of which shall be enforced to the full extent permitted by law.

 

TERMS AND CONDITIONS OF SALE

1. DEFINITIONS. This document may have been sent by SABIC Innovative Plastics Denmark ApS as agent and on behalf of another entity. If this is the case, suchother entity is mentioned on the order confirmation or invoice below the manufacturing location and any reference below to “Seller” shall referto such other entity. If no such entity is mentioned, SABIC Innovative Plastics Denmark ApS shall be the Seller. As used below, “Product” means any product orservice sold by Seller, and “Buyer” means a party purchasing any Product from Seller. Even if Buyer sends Seller another form of agreement,or modifications to this agreement, and Seller does not respond, these terms will govern the agreement between Seller and Buyer. If Buyerdoes not agree with these terms, please call a Customer Service representative to discuss modifications. Any modifications must be inwriting and signed by Seller.

2. TERMS AND CONDITIONS OF SALES. Any Products Buyer purchases from Seller are sold subject to the following:
a. If Buyer already has a fully signed sales agreement with Seller, then any term in that agreement will be applied to Buyer’s purchase andthese terms and conditions will apply to the extent not conflicting with that agreement.
b. If Buyer does not have a fully signed sales agreement with Seller, then the following is Seller’s complete contract, which is governed bythe substantive laws of Denmark. The Maritime and Commercial Court of Copenhagen, Denmark shall have exclusive jurisdiction. TheUnited Nations Convention on the International Sale of Goods will not apply to any sale of Products.

3. PRODUCTS. The Products sold are those described in Seller's order confirmation, unless, in the event of a discrepancy between Buyer'sorder and Seller's confirmation, Buyer notifies Seller in writing of its disagreement, within a period of ten (10) days from the date of Seller'sconfirmation. Unless otherwise agreed in writing, in order to promote their safe and effective use, all Products are provided solely for use orconsumption by Buyer and Buyer shall hold harmless and indemnify Seller against any claim from third parties related to the resale, transferor use of any such Products.

4. PRICE. Product prices are determined by Seller’s order confirmation provided to Buyer or, in the absence of such confirmation, by Seller’slist prices in effect at the time of shipment. Unless otherwise agreed in writing, all prices are CIF/CIP (INCOTERMS 2000) the facilityspecified by Buyer and payment will be due within thirty (30) days of the invoice date. Buyer shall not be entitled to make any deduction frompayments due to Seller on account of any alleged set-off or counterclaim. Seller has at all times the right to demand full or partial advancedpayment and security for payment. Late payment immediately constitutes a default without notice and statutory interest applies automatically.Buyer shall reimburse Seller for Seller's full costs of collection and related legal costs, even where exceeding the legally recognised costs.Seller may at all times assign its invoices to a factoring company in which case payments shall be made into the account mentioned on theinvoice. In the event that the cost to Seller of the Products has increased as a result of an increase of external costs or a modification of ratesof exchange or increase in Seller’s raw material or input buying prices, taxes, duties or other levies imposed by public authorities, Seller hasthe right to increase the prices accordingly for all orders not yet shipped to Buyer, provided that Seller provides Buyer with at least fifteen (15)days prior written notice. All orders for such Products that are confirmed but not shipped as of the effective date of such increase shall be repricedaccordingly.

5. DELIVERY. Any delivery dates set out in Seller’s order confirmation or acceptance are estimates. Seller cannot guarantee delivery on aspecific date and variation of up to 10% in quantity is acceptable to Buyer. Buyer will be invoiced for the quantity actually delivered. Thequantity recorded on Seller's officially calibrated weighing equipment at the point of loading shall be accepted by both parties as correct.Delivery may be made in installments and may be extended as long as Buyer is delayed in the performance of any obligation to Seller. Sellershall not in any circumstance be liable for any loss or damage whatsoever due to delay in delivery (including pursuant to installments)however occasioned unless the same was attributable to Seller's gross negligence or willful misconduct. If Buyer refuses to accept delivery ofProducts or any installment thereof, Seller may, without prejudice to its other rights, arrange for the storage of the Products at the expenseand risk of Buyer. All title and risk of loss or damage passes to Buyer at the time Products are first transferred to a commercial transportationcarrier for shipment. SELLER SHALL RETAIN TITLE TO THE PRODUCTS DELIVERED TO BUYER UNTIL BUYER HAS PERFORMEDALL ITS OBLIGATIONS UNDER ANY SALE AGREEMENT WITH SELLER. In the event of any re-sale by Buyer of any goods manufacturedout of Products sold by Seller, Buyer assigns to Seller all proceeds from their sale.

6. LIMITED WARRANTY. Limited Warranty Certificates may be issued for specific sheet and film Products. If no such certificate has beenissued to Buyer, Seller warrants that all Products sold to Buyer will conform to the manufacturers’ specifications as set forth in the applicableproduct certification delivered to Buyer. Buyer will inspect all Products for damage, defect or shortage promptly after Buyer receives them,and will give Seller prompt notice of any damage, defect or shortage that Buyer finds. Buyer must give Seller notice of any defect within thirty(30) days after the date of shipment or before the date the Products are used, whichever comes first. If any Product is determined not toconform to the warranty set forth above, Seller shall, at its option, either replace the defective Product or refund the purchase price thereof.Defective Products shall not be returned by Buyer until authorized by Seller. This remedy is Buyer’s exclusive remedy for breach of warrantyand defects in the Products. Should applicable law prohibit this limitation of Buyer’s remedies, then Seller agrees that the maximum amountBuyer may claim from Seller is twice the net purchase price Buyer actually paid Seller for Product subsequently determined to be defective.This limited warranty is given only to the original purchaser and does not extend to any subsequent purchaser or transferee of Products.Buyer is not entitled to extend or transfer this warranty to any other party. If Seller has not issued a Limited Warranty Certificate to Buyer, thiswarranty is in lieu of all other warranties, written or oral, statutory, express or implied, including any warranty of merchantability or fitness fora particular purpose.

7. LIMITATION OF CLAIMS. Seller will not be responsible for any harm arising out of Buyer’s purchase, possession or use of any Products,Buyer’s use of any function on Seller’s web-sites or any technical advice Seller may offer, except as agreed in the Limited Warranty set outabove or in case of gross negligence or willful misconduct. Seller will not be liable for damages whether consequential, special, incidental,exemplary or otherwise, including, but not limited to, loss of goodwill, profits or turnover, equipment downtime, repair or material cost, cost ofany substitute for the Products Buyer bought, claims of third parties or injury to person or property. Seller shall not be liable for any damage,injury, contamination or loss in case of breach by Buyer of its obligations under clause 12 and Buyer shall indemnify and hold Seller, itsemployees, suppliers and sub-contractors harmless against all claims, costs, loss or damages in connection with such breach. Conditionslimiting, excluding or establishing liability, which can be invoked by suppliers or independent contractors of Seller against Seller in respect ofthe goods delivered, may also be invoked against Buyer.

8. TECHNICAL ADVICE AND OTHER SERVICES. Buyer is responsible for the design, processing, testing and labeling of any productproduced using Seller’s Products and Buyer will not rely on anything on Seller’s web site or any statement by Seller about the suitability ofProducts Seller provides. Buyer is responsible for testing and investigating Products sold by Seller to form an independent judgmentconcerning their suitability for the use, conversion or processing intended by Buyer and will not make any claim against Seller based onSeller’s technical advice, statements, data, services or recommendations.

9. INTELLECTUAL PROPERTY. Any suggestions Seller makes about possible applications, designs or uses of Seller’s Products do not giveBuyer a license under any intellectual property right covering such applications, designs or uses, nor are they a recommendation for use ofsuch Products, applications or designs which may infringe any intellectual property right. Seller will defend Buyer if there is a claim thatProducts, as delivered to Buyer infringe another person’s intellectual property rights, and if necessary will either refund the purchase price orobtain for Buyer a license under those intellectual property rights. The foregoing sentence states the entire obligation of Seller for intellectualproperty infringement by any Product sold hereunder.

10.EVENTS BEYOND SELLER’S CONTROL. Seller shall not be responsible if Seller’s performance of any obligation hereunder becomes, inwhole or in part, temporarily or not, impossible or commercially unreasonable due to any cause or event beyond Seller’s reasonable control,including, without limitation, extreme weather conditions, natural catastrophe, warfare, terrorist activity, fire, acts of any governmentalauthority, site or building blockades, transport interruptions, strikes, specific work interruptions or work-to-rule slowdowns and lockout,machine breakdown, delay in the provision to Seller of parts, goods or services ordered from third parties, accidents and interruptions ofbusiness operations. If such event occurs on the part of Seller, Seller shall not be liable and its obligations are suspended. If the event lastslonger than 90 days, both Seller and Buyer may rescind the non-feasible parts of the agreement by a written declaration.

11.ENVIRONMENTAL, HEALTH AND SAFETY COMPLIANCE. Seller will give Buyer Material Safety Data Sheets (“MSDSs”) and Buyer willprovide the MSDSs to all those required by law to receive them. Buyer will take such precautions as may be appropriate for hazardsidentified in the MSDSs and properly manage and dispose of all wastes and residues resulting from its use of Products, including anydisposable packaging, in accordance with applicable laws and regulations.

12.EXPORT CONTROL COMPLIANCE. Buyer ensures that Products, technology or software Buyer receives from Seller are exported byBuyer only in compliance with applicable export control laws. Buyer agrees that it will not use or knowingly support the use by others of suchProducts, technology or software in the design, development, production or use of nuclear, chemical or biological weapons or ballisticmissiles.

13.ELECTRONIC COMMERCE. Seller may offer Products for sale using the Internet, e-mail or other electronic communications methods. Allsales of Products made using any such method will be governed by the terms of the governing sales agreement, and by any additional termsset out or referenced in Seller’s Internet site or electronic communications.
